How does it work? • Independent Sourcing Specialist (me) will leverage volumes across companies for specific commodities to negotiate best prices and conditions at manufacturers (suppliers) • Advantage buyer: Better prices and T&C so savings • Advantage seller/distributor: Larger business volumes (out of one region) so integral savings • Advantage Sourcing Specialist: Earn income out of % of realized saving first year (no cure no pay) and fee’s years N+1> • I will not interfere into the business model but in the commercial process between buyer and seller • My deliverables are suppliers with prices and T&C • After first project realized duplication to # commodities and sourcing specialists will be worked out via state of the art back-office system.   5. First project to get the train running • Region: Europe • Scope commodities first project: - Elcaps, filmcaps, fixed coils, …. (adjusted based inputs) - PCB - Inductives/wire wound components (coils, filters, trafo) • Companies can join based “no cure no pay” for first year so no financial risks • I will collect the volumes and will benchmark/negotiate the prices within the supply market (my preferred supply base) based open book! • I will support release processes (if needed) with new suppliers • The procurement will stay as of today into hands buyer so my deliverables are suppliers with prices and T&C, I manage the strategic part not the execution (ordering). All money-/goods- flow directly between buyer and seller! • I will earn based % from saving over first year (payment quarterly based open book volumes and prices old/new) and a fee (% purchase volume) for year N+1> so you stay as a customer (buyer) within this leverage process (to keep competitive prices during market up/down) • Percentages: 20% out of savings for year N so 80% direct into pockets buyer 1% Purchase volume (Euro) fee for years N+1> VanderMolen Sourcing & Interim Management, November 17, 2014
