Startup steps • File organizational documents with the California Secretary of State (corporations, LLCs, and limited partnerships only) • Obtain a Federal Employer Identification number (FEIN) • Register your fictitious business name with your county • Obtain a local tax registration certificate (business licence) • Obtain a specialized vocation-related license or environmental permit, if necessary.

  4. Why do I need to file these forms? • To identify yourself. Society wants to be sure you’re accountable for your actions. That’s why you have to fine a FBN when you don’t use your name as part of your business. • To protect the public. Govt agencies who issue permits and license to ensure that your business offers safe products or services that won’t harm people or the environment. Food, for example. • To keep track of your finances for tax purposes. To collect every tax and fee imaginable.

  5. Filing • For corporations, the necessary papaers are called Articles of Incorporation. • LLCs: Articles of organization. • Limited Partnership: Certificate of Limited Partnership (LP-1) • Limited Liability Partnership Registration form

  6. Check on your name first • www.sos.ca.gov • Just because your name is accepted by the CA Secretary of State doesn’t mean you’re free to use it. • A name of a general partnership wouldn’t be registered in CA’s corporate name database, but may have been in use for years. • Do a trademark search before using any name.

  7. Obtain a FEIN 103 • SP’s and partnerships just create their businesses by “default” once they’re engaged in business activity. • A Federal Employer ID is equivalent to a SSN for an individual. • You’ll use it for federal tax return and business documents. • Required even if you don’t have employees.

  9. Step 3: Register your FBN Statement 106 • Trade name that doesn’t match the names of the owners needs to be registered. • Also known as “DBAs” • Why? To prevent customer confusion between two local businesses that use the n\same name. Finding out the owner of a company w/o hiring a private investigator. • Make is harder for fly by night businesses.
