  4. Countrylane Woods IIReading of Minutes of Preceding Meeting CLWII Homeowners Association Agenda/Meeting Minutes, March 7, 2011 Directors in Attendance: K. Brown, L. Lee, M. Ritchie, E. Ruegg, C. Weber H/O in attendance: Approx. 22 Meeting held at Barretts Elementary School Meeting called to order at 7:05 p.m. and adjourned at 8:25 p.m. 1. Trustees/Directors thanked Keith Brown for providing the projector. This saved CLW lI about $175 ± including the school providing the screen. 2. Proof of Notice of Meeting 3. Reading of minutes of preceding meeting (March, 2010). Lynn Lee read the minutes of the 2010 corporate meeting. Minutes were accepted and approved.

Countrylane Woods IIReports of Committees Architectural Control Committee Summary of 2011-continued Letters Written to Homeowners from ACC Cedar terrace home & trim panted a disallowed color without ACC approval. Homeowner given 12 months to comply. Letters were issued to homeowners with fences along Big Bend to have them painted at one time & in one color at a competitive “bulk rate.” Not enough participation so project was ended. No further action. 34

Countrylane Woods IIReports of Committees Architectural Control Committee Summary of 2011-continued Letters Written to Homeowners from ACC-continued In the past the ACC has approved paint colors based on small paint samples with finished project a different color. The ACC now requires paint samples be submitted on a one foot square of material on the home or to be used on the home. Indentures require wood tones of tan, brown, cedar, or shades of gray, not another color with a little gray mixed in. Updated photos of most cedar homes with projects between 2006-09 have been taken, to finish Spring 2012. 35

  29. Countrylane Woods IIReports of Committees Architectural Control Committee Summary of 2011-continued ACC Plans For 2012 Continue to remind homeowners that any trim around windows and doors cannot be painted white or black. Horizontal and corner trim must be the same color as the home. 36

Countrylane Woods IIReports of Committees Architectural Control Committee Summary of 2011-ACC Plans For 2012-continued Reminder to ALL Residents of Countrylane Woods II A Review for Architectural Control Should be Completed for Any Exterior Home Repair or Improvement Project except planting trees and shrubs This quick and painless process is in place to prevent a homeowner from making mistakes that may end up costing them time and money. Please ask for permission in advance. Do not ask for forgiveness after the fact Projects done in violation of the subdivision indentures will need to be redone at the homeowner’s expense. 37

Countrylane Woods IIUnfinished/New Business Lawsuit Update 2006 a lawsuit filed by 4 residents and later enjoined by 12 others against the Trustees and Directors of CLW II Results of the lawsuit The court ruled that indentures are attached to the land and cannot be superseded by corporate bylaws Our corporate bylaws were adopted in 2005 and ratified by the homeowners by a vote in 2009. These are the governing bylaws of our Homeowners Association The elections held by the plaintiffs to remove the Trustees and Directors were declared invalid 43

Countrylane Woods IIUnfinished/New Business Lawsuit Update - continued The court ruled that the duly elected Trustees and Directors of CLWII were Eric Ruegg, Keith Brown, Lynn Lee, Mike Ritchie and Carol Weber Court costs were assessed against the plaintiffs Plaintiffs file a motion July 2010 Plaintiffs file a motion for a new trial and to reconsider the previous judgment The court denies the motion 44

Countrylane Woods IIUnfinished/New Business Lawsuit Update - continued Appeals Court Motion to Appeal by Plaintiffs The Plaintiffs position was that the Circuit Court did not rule on all complaints and the case should be appealed. The Appeals Court ruled that since the Plaintiff’s position was that there was no final ruling, then the case could not be appealed and the motion for appeal was denied. Circuit Court Plaintiffs petitioned the Circuit Court to re-open the evidence (trial). 11/2/2011-The Circuit Court filed an “Amended Judgment of Finding of Fact and Conclusions of Law” and Order denying Plaintiffs motion to re-open evidence. 45

Countrylane Woods IIUnfinished/New Business Lawsuit Update - continued Appeals Court 2/21/2012-Plaintiffs have filed a notice of appeal of the Circuit Courts decision Small Claims Court 12/30/2010-John Osthus filed a small claim’s case claiming that he had to unlawfully pay assessments in excess of $250 for the years 2007, 2008, 2009 and 2010. He also claimed that indenture amendments were not correctly passed and the value of his house had decreased by the new restrictions. 46

Countrylane Woods IIUnfinished/New Business Lawsuit Update - continued Small Claims Court 2/2/ 2011-The subdivision attorney filed two motions to dismiss and a counter claim for “abuse of process”. The court upheld the motions to dismiss and awarded CLW II HOA $500 in the counterclaim Trial De Novo (Small Claims Appeal) 4/1/2011-The Trial De Novo was dismissed since the court stenographer forgot to take notes. 47

Countrylane Woods IIUnfinished/New Business Lawsuit Update - continued Small Claims Court 8-29-2011-The second Trial De Novo ruled that all claims brought by Mr. Osthus were dismissed just as in the original small claims court. The $500 awarded to the subdivision for abuse of process was dismissed. 48
