  10. 현지법인 설립절차(I)(Incorporation) • 법인형태 결정 • 주식회사, partnership, LLC 등 • 법인명 결정/등록가능성 확인 (예약 가능): 해당 주 정부 (이하 California 기준으로 설명함) • 법인등록신청: • 해당 주 정부에 ARTICLES OF INCOPRATION 등록 • 법인명, 총발행가능주식수(authorized stock)등 명기 • 소요기간: 통상 2주이내 • 회사등록번호부여 • 임원/이사진 등록(officer and directors) • Statement of information을 주정부의 Secretary of State에 등록 • 매년 갱신 보고(임원, 이사, 주소 변동시 수시로 변경보고가능) • 임원(CEO, CFO, Secretary) • 이사(Board of Directors 멤버) • 임원과 이사를 1인이 모두 맡을수 있음.

  11. 현지법인 설립절차 (II) • 연방정부 납세자번호취득 • IRS (Internal Revenue Service: 연방국세청)에 EIN (Employer Identification Number)신청 • 신청시 회사주소, 임원이름, 업종등을 명기 • 법인세(corporate income tax), 직원 payroll tax등 납부시 필요 • 법인명 은행구좌 개설 • 임원이 은행방문하여 원장기입 • 자본금 불입: 한도는 없음 • 주정부 납세자 번호 취득 • EDD (Employment Development Department: 주정부 고용국)에 납세번호 신청 • 직원 임금에 대한 payroll tax 납부 • 회사 정관및 이사회회의록 작성 • 정관(Bylaws) • 이사회회의록(BOD minute) • 표준양식 가능
