  3. Mission * Vision • Soiréeprovides fiscally and environmentally conscious brides and other event planners with a socially responsible, one-stop shop for everything event-related. We provide patrons with an avenue to sell their gently used event décor, in a retail environment. • Soiréewill be the premier venue for brides, event planners and gift-givers to find unique, whenever possible - locally sourced, reasonably priced, event décor and event related items while receiving superior customer service.

  8. Structure • S-Corporation: 1. Incorporate the business as a limited liability company. • 2. Make an election with the IRS to have the LLC treated as an S corporation. The S election is made with form 2553. NYS requires a separate state S election. • Because S corporation can be used as tax deductions on the shareholders personal income tax returns, the S corp isn't taxed on S corp profits--at least by the federal government and there is a self-employment tax deduction that could save thousands in taxes each year. • Many knowledgeable accountants and attorneys now recommend the limited-liability-company route because limited liability companies are easier to "maintain" than regular corporations

  9. Margin • I would apply a 35% margin to retail and resale items. • Example: A customer brings in 15 centerpieces that retail for $60 a piece, I would offer $30 per piece, sell for $45.99 a piece. A $239.85 profit, a margin of 35%
