Background Slide Number 2 • In 2006 GSUSA launched a plan to redraw council boundaries to create a nation of high-capacity councils reducing the number of councils from 313 to 109. • A team of demographers was hired by GSUSA to draw the new council map based on factors like population, travel patterns, and geographic barriers. • GSCNC’s new map included Frederick County, MD from Penn Laurel GSC and Clarke, Warren, and Frederick County, Virginia from Shawnee GSC.

Background (continued) Slide Number 3 • Frederick County, MD was transferred in 2007 with great success – remaining counties in Penn Laurel became part of a Pennsylvania Council. • Shawnee’s counties were slated to split 4 ways – with the bulk going to Black Diamond in Charleston, West Virginia. • Shawnee did not agree with the map, feeling strongly that their jurisdiction focus “east” toward Washington DC rather than “southwest” toward Charleston.

Background (continued) Slide Number 4 • At Shawnee’s request, the demographers revisited and ultimately redrew the map – transferring 8 counties to GSCNC – making us the “unexpected merger partner”. • Understanding the demographic realities of their jurisdiction and Shawnee’s interest in “staying together”, GSCNC agreed to consider the full transfer of all 14 counties. • Girl Scouts of the USA agreed. • In March, the Board of Directors of both GSCNC and Shawnee unanimously approved a merger of these two councils. • Next and final step is merger approval by the voting members of both councils.

What We Learned at Winter Delegate Forums Slide Number 9 • We understand the demographic reasons for the merger; • Are eager to share and learn on a girl, adult and council level; • Are filled with positive ideas about how to build connections; • Are ready to: • organize a Sing Along at Camp White Rock • sign up for sister troops and pen pals • plan council-wide programs in or near the new county area • provide home hospitality for troops, and • design a patch that commemorates the merger…. • And many other creative ideas to help us integrate the two councils.

  11. New Registration Process at Annual Meeting IMPORTANT all delegates and alternates should have received an email with a unique link to register. Registration is based alphabetically by your last name. You will be given a nametag that will be scanned for recording purposes and asked to sign your name for Council records. Slide Number 11

How to read the Ballroom Screen Slide Number 13 This is your Association and Service Unit This represents how many delegates from your Association and Service Unit have checked in the day of the Annual Meeting If your Service Unit is RED or your Association is RED, and you are an Alternate Delegate you must proceed to the Registration Table at 8:45 AM so you can serve as a Voting Member. This represents how many delegates your Service Unit gets based on the formula one delegate for every 200 girl members

  14. What We Will vote on at the Annual Meeting • Four amendments to our bylaws to help facilitate the merger, and • The Merger Agreement Slide Number 14

Bylaw Amendments Slide Number 15 • The proposed amendments: • Provide for the use of “counties” in areas where there are no Service Units • Create two additional Board positions for a 2-year transition period • Increase the number of Forum locations to six in order to better gather input, and • Authorize the Board of Directors to set the fiscal year of the Council.

  16. Bylaw Motion at Annual Meeting • Motion: That the current Bylaws of Girl Scout Council of the Nation’s Capital be amended as presented with amendments to be effective at the time of the merger with Shawnee Girl Scout Council. Slide Number 16

Merger Agreement – Main points Slide Number 17 • Nation’s Capital will be the surviving Council. • Two members from Shawnee’s Board will be added to GSCNC Board for the 2-year transition period. • Nation’s Capital agrees not to initiate a jurisdictional transfer of any of Shawnee’s 14 counties. • Distribution of the principal from The Lutz Trust will benefit the 14 county region, as intended by the donor. • The merger is conditional on an affirmative member vote by Shawnee Council on May 9th . • Merger Becomes official October 1, 2009
