4. 1.Service Charges: We Shall Charge Professional Fees for Services rendered by us as below:  a.     8.33 % of Annual Gross Salary for all positions  Gross Salary for this purpose would mean the Cost to Company (CTC) as defined in the offer letter. 2.Payment terms: Payment to be made by way of cheque /DD favoring Marichi Consultants Within 30 days from the date of joining of the candidate.  3.Replacement: We shall arrange another candidate free of cost if candidate selected by you through us leaves your organization within 60 days as a onetime replacement guarantee 4.     This contract would be valid effectively till December 31st 2010 5.Advertisement: If any special advertisement is required to be given in any Newspaper for your above requirement the same shall be borne by you however advertisement shall be given subject to approval from you and same shall be payable in advance.  6.Service Tax: Service Tax or any other taxes applicable shall be borne by you at actual. 7.Selection & Recruitment: The final selection and recruitment shall be done by you we shall only organize to send the short listed candidates for final selection and verification by you  8.Offer Copy:  You will provide us a copy of Offer letter issued by you to candidate selected by us and intimate us in writing his date of joining. 9.Jurisdiction: All disputes subject to Mumbai Jurisdiction.  10.Confidentiality: Both the agency and the company shall at all times keep the information provided by each other in complete confidence
