  2. Form a board of directors and set up your financial structure. • Really, any number is ok. The IDHRC has a board of 15. • File for a Federal Employer ID Number (EIN) online at http://www.ein-gov.us/. You will also need this number to open a bank account. • File your forms and documents with the IRS and Iowa Secretary of State. • By-laws must be approved by your board of directors. The by-laws will become part of your submission to the Iowa Secretary of State. • Incorporation is accomplished through the Secretary of State’s office.  Create your Articles of Incorporation. http://sos.iowa.gov/nonprofits/forming.html details requirements for the Articles of Incorporation along with other requirements (corporate name restrictions, etc.). Applying for 501 (c)3 Status

  3. Form 1023 and instructions are available at http://www.irs.gov/pub/irs-pdf/f1023.pdf. This is the IRS application for tax exempt status. CPA’s and attorneys may be very helpful with this step. • The IRS will send a decision letter once your application has been reviewed and any additional questions that may come up are answered.
