Standard Contract Forum Session • SIA Contract Documentation update • Interconnect Briefing 018-10 (SCF Contract Information Note 62) on 24 February 2010 announced revisions to the following SIA Contract Documentation: • Main Body • Annex D (Definitions) • Schedule 112 BT Premium Rate Service Calls • Schedule 218 BT 118 Directory Enquiry (DQ) Service Calls • Schedule 313 Operator Premium Rate Service Calls • Schedule 314 Operator Personal Numbering Service Calls • Schedule 418 Operator118 Directory Enquiry (DQ) Service Calls • in respect of AIT and 2008 Contract Review Clear-the-Decks (see next slide)

Standard Contract Forum Session - continued 2008 SIA Contract Review Clear-the-Decks • Further to: BT email proposal of 14 December 2009; discussion at IPF 2 February 2010; BT email of 23 February 2010 and Interconnect Briefing 018-10 dated 24 February 2010, Main Body revised as follows: • warranties (6.2) • Conduct of indemnified events (new 23A) • IPR indemnities (24.2/3) • BT right of termination (no links) (27.5A) • Service of notices (28.3) • Signature of variations (30.2) • Clarification of: Changes to Manuals (1.4); System Alterations (4.6/7); Transfer Charge Calls (7.1/7.2); indemnity re Information (10.7); System protection (16.1/2); review (19.1.7); determination (deletion of 20.2); disputes (new 26.1.1/2)

Standard Contract Forum Session - continued 2010 SIA Contract Review opportunity • 2008 Contract Review process not completed… • … though “Clear-the-Decks” text (see earlier slide) was added to Reference Offer and is available from February 2010 • discussions on a number of areas stalled – if still seen as critical by CPs would need refocus and relaunch… • …Contract provides for a 2010 Contract Review initiation window April-June • If review to proceed, BT proposed following a process more like recently agreed MSA/PPC processes… • …hence Interconnect Briefing 030-10 dated 28 April 2010, and draft process at http://www.btwholesale.com/pages/static/Pricing_and_Contracts/Contract_Reviews.html • and Interconnect Briefings 038-10 (5 May 2010) and 042-10 (28 May 2010), inviting CP review issues to be sent to BT by 4 June 2010 at commercial.interface@bt.com with “2010 SIA Contract Review” in the subject line • …present situation…

Standard Contract Forum Session - continued BTW Credit Vet Review • BTW Credit Vet Policy review launched August 2009 • BT circulated consolidated list of CP issues 25 September • BT initial responses 13 October • Meeting with interested CPs 15 October • 9 November notes and initial comments to active CPs (and copied to msa@ukcta) • BT Policy redraft to active CPs (and copied to msa@ukcta) on 12 January • Late April BT decided that it ought to make improved text available to CPs, so… • ….Interconnect Briefing 039-10 dated 5 May 2009 notified that, per process, updated Draft 7.4 of the BTW Credit Vetting Policy would take effect as Issue 8.00 from 30 July 2010 • [Meanwhile Interconnect Briefing 044-10 dated 2 June 2010 notifies new issue 7A with Appendix 14 for IVPS and several corrected cross-references in Appendices] • Any CP comments on 7.4 (or 7A changes) to keith.mitchinson@bt.com and norah.brash@bt.com as soon as possible before the effective date.
