The role, constitution and responsibilities of Nexia Umbrella Groups Constitution Adoption The constitution or Network Agreement of all Umbrella Groups are to be reviewed and approved by Nexia International before approval is granted for the establishment of an Umbrella Group. Each Umbrella Group should appoint a Chairperson who should form an Executive Committee or Board or Working Group, the size of which will be dictated by the group’s size. However, it would be usual that each national firm would be represented and to comprise at least a Chairman and not less than two other members. A member of the Executive Committee or Board must be a partner or Director in a member firm of Nexia International. Other members may be invited to serve by the Chairman and the Board on an ad hoc basis, for limited periods to cover specific projects. Members should serve for not more than two terms (of 3 years). However, any member who serves as Chairman should be able to serve for 3 terms if there is no replacement available, and it is with the agreement of the committee. In general terms, this will require the Committee to: • Within Nexia International’s Strategic Plan, define the goals of the Group and establish objectives, a plan and guide it through to full implementation. • Obtain and represent the views of national members at international or regional conferences. • Develop the membership nationally so that coverage and performance meets the goal of Nexia International for regional membership. • Ensure policy decisions and action taken is sent to Contact Partners and disseminated to the membership. • To supervise the organization of any national meetings.
