Bank systemet i Kina • People’s Bank of China (PBOC) • Centralbanken i Kina • Formulerer og implementerer den monetære politik, opretholder finansiel stabilitet • Tilvejebringer forskellige bankprodukter til fordel for økonomisk vækst og prisstabilitet i bank-sektoren. • China BankingRegulatoryCommission (CBRC) • Formulerer regler for bank-sektoren • Udfører on-site kontrol i bankerne • Varetager kundernes interesser, sørger for at opretholde markedernes tiltro til bank systemet • Indsamler og offentliggør statistik omkring bankernes forretninger, volumer osv. • State Administration of Foreign Exchange (SAFE) • Ansvarlig for overvågning og administration af FX-markedet i Kina • Formulerer forslag til nye regler på området – og er ansvarlig for udbredelsen af disse regler • Deltager aktivt i processen omkring konvertibiliteten af RMB • Offentliggør statistik omkring valutareserverne, udl. investeringer, cross border betalinger m.v.

Dokumentertilbrug for åbningaf “capital account” Documents Explanation Signed by who • Board of directors + authorized person + company seal Account opening form 开户申请表 • Account opening form issued by Handelsbanken • Authorized person + company seal General business agreement 总协议 • Handelsbanken’s account opening agreement • The board resolution stipulates who is authorized to (1) open the account, i.e. signing relevant agreements (2) operate the account and execute payments (3) sign the GlobalOn-Line agreement. Handelsbanken will provide a board resolution template Board resolution template 董事会决议 • Company board of directs • Appointed persons from the board resolution + company seal • The specimen signature cards are signature verification tools when executing payments. The person(s) appointed by the board resolution to execute payments need to put their signature on the specimen cards Specimen signature cards 印鉴卡 Test key contract 密押协议 • The test key is way of verifying scanned and faxed documents from the company by using a code system • Authorized person Account opening – Terms and Conditions 帐户开立条款 • No need to sign • Handelsbanken’s account opening terms and conditions • During the physical account opening the legal representative need to come in person. If the company wants to send someone else, an authorization letter from the legal representative is needed. Handelsbanken will provide a template Authorization letter for account opening 开户授权书 • legal representative + company seal Company basic information form 对公单位基本情况表 • A short introduction of the company. Handelsbanken will provide a template • Company seal Foreign account registration at SAFE Shanghai 开户信息登记(非上海客户) • Only required when the company is located outside Shanghai. Handelsbanken will provide a form • Company seal *According to account opening form

There are two original copies of the business license, the original license and the counterpart license Business license 营业执照 • Two originals together with copies + company seal Legal representative code certificate 组织机构代码证 • The legal representative code certificate is issued by State Bureau for Technology Supervision Certificate of approval 批准证书 • Original together with copy + company seal • The Chinese entity’s certificate of approval • Passport copies for the board members signing the board resolution, the legal representative, the authorized person in the board resolution and Global Online users*. Chinese citizens need to provide ID copies + signatures on the copies 护照复印件 Passport copies • Copy + company seal 母公司营业执照 Certificate of incorporation • Copy + company seal • Parent company certificate of incorporation Foreign account approval by SAFE 外汇账户开立核准件 • An approval from SAFE stored on the IC card, stating that the company is allowed to open a capital account • Copy + company seal • Companies wishing to open foreign accounts need to apply for a Foreign Exchange Registration Certificate Card (IC Card) with SAFE Foreign exchange Registration certificate card (IC Card) 外汇登记证IC卡 • Original +Copy + company seal Joint venture contract 合资合同 • If the company is operating in a joint venture, a joint venture contract is needed • Copy + company seal *If the company send someone else instead of the legal representative for the physical account opening, that persons passport copy is also needed
