Overview of legal and governance issues • Major part of ELIXIR will be ELIXIR hub at EMBL-EBI • Many options have been evaluated for legal structure of ELIXIR • EMBL Special project has been identified as the best solution for now, because it makes use of EMBL‘s existing legal entity while ensuring visibility and oversight for ELIXIR consortium • ELIXIR Consortium will be relatively quick to set up • EMBL as an intergovernmental organisation is experienced in setting up and operating international consortia • ELIXIR membership not limited to EMBL MS • Option to move to a different legal form e.g. ERIC later remains • Nodes will be separate legal entities that are able to enter into agreements with the ELIXIR hub

International Consortium Agreement • International Consortium Agreement serves as legal basis for ELIXIR • All ESFRI Member States can join ELIXIR • Implements ELIXIR as special project within EMBL • Arrangements will be made for non-EMBL Member States to contribute to ELIXIR hub • Signatories = governments and EMBL • Establishes hub and nodes structure • Nodes connected to hub via separate agreements
Could ELIXIR become an ERIC? • ERIC: European Regulation on Research Infrastructure Consortia - new new legal framework especially designed for European research infrastructures • First ERICs in implementation now – will be easier once it is well established within the ERA • ELIXIR could become an ERIC in the future, would have similar advantages as international organisation • Members would be countries and intergovernmental organisations
ELIXIR International Consortium Agreement Contents of ICA: • Hub and nodes: their tasks and relationship • Rights • Obligations, in particular financial • Liabilities • Funding provisions
ELIXIR International Consortium Agreement Bindingness of financial obligations • Graded process: non-binding, later binding • Bindingness refers to obligation for financial contributions to hub (and nodes?) • Depends on negotiations with governments/ funders and also on distribution of tasks among hub and nodes

Next steps and timelines • Discussion of legal and governance model with funders today • Countries interested in constructing ELIXIR will appoint an interim ELIXIR Board now with government representatives to represent ELIXIR during interim phase and to appoint an ELIXIR Scientific Advisory Board • Develop strategy for selection and funding of ELIXIR nodes • Finalise ELIXIR business plan and draft ICA • Negotiate ICA with ELIXIR MS and EMBL • Get approval from EMBL MS for ELIXIR Special project and funding of hub • Sign ICA • Conclude bilateral service level agreements with ELIXIR hub • Start operational phase of ELIXIR
