The organizer will allot the stands / shells on “FIRST COME FIRST SERVE” basis and reserve the power to reallocate the space to any exhibitor's stand/shell; allotted originally. 2. Any additional item utilized over & above that to be supplied under shell scheme will be charged extra. Exhibitors availing bare-space will be given only 'chalk marked' area and an electrical points, furniture or lights etc. will be charged separately as “extra fitting cost” with applicable taxes. 3. Each exhibitor taking bare-space and/or shell-stand may take possession of allotted area(s) on 4th Sept, 2012 by 08:30 PM onwards. Full and final payment of participation fee, security deposit and cost of extra services/fittings by banker's cheque or demand draft will be a pre condition for handing over the possession. 4. All exhibitors will/can display their materials within the allotted area only. Specially structured stalls/shells must not interfere with the overall exhibition format or visibility of other stands. The design of special structured stalls will be submitted to organizer at least 15 days prior to start of exhibition. The organizer reserves the rights to change in such stalls/shells, and that changes will be carried-out by the exhibitor. If the changes are not to be carried-out, the requisite work shall be completed by the entire risk of exhibitor. 5. All stand/shell structure MUST be completed by 07:00 AM of 6th Sept, 2012. No exhibitor is permitted to store their display materials out of allotted areas within exhibition venue. All exhibits including stand materials MUST be removed on or before 9th Sept, 2012. 6. The exhibitor will ensure the flooring, walls, lifts and/or other structure and fittings etc., and must not be damaged / destroyed / theft. 7. The exhibitor shall ensure that all demonstration, interviews, advertising, promotions & other sales/marketing activities are being furnished within the allotted stand only. Any audio-video display may be conducted in low-volume only. 8. The exhibitor shall ensure that the shell stand / allotted area are vacant within one day of last day of exhibition. The organizer will not be responsible / liable in any ways after closing on last day of exhibition. 9. Force Majeure: In case the exhibition is abandoned, cancelled or suspended in whole or in part due to reasons of fire, explosion, strike, casualty or accident, epidemic, cyclone, earthquake, flood, war , national emergency, labor unrest, non-availability of exhibition premises or any other cause, revolution or requirement of any government or any sub division authority or representative of any such government or any other act what so ever whether similar or dissimilar to those enumerated beyond the reasonable control, the organizer, at their own discretion, may refund in part the amount paid by the exhibitor after adjusting for the basic expenses incurred without any obligation to do so. The organizer will be under no-liability for any action, claims or losses that may be or may have been incurred by the exhibitor. The exhibitors are advised to seek relevant Insurance Cover in their own interest. 10. In the event of violation of any of the above rules, the organizer will have the rights to close the exhibitor's stall/space without any liabilities whatsoever. 11. Any disputes against organizer, US ASIA business Forum or its member(s) will strictly fall under The Judiciary/jurisdiction of California. 12. Disputes, if any shall be settled by mutual arbitration. Failing any decision by arbitration, the competent court of Mumbai, India shall have the exclusive jurisdiction in all disputes under this contract and their decision will be final and binding on all concerned. 13. The exhibitor shall not assign full or part of allotted area to him/her under this contract to any other party, without the prior consent of the organizer in writing. 14. Wherever the indoor raw-space is allotted, the exhibitors will have to erect the stand at their own cost in line with 'The Rules & Guidelines for Design & Construction of Stand' set forth by the management of the Convention center for US ASIA BUSINESS EXPO, 2012. 15. The organizer USABF will appoint official Clearing & Forwarding Agent / Agency, which will assist in handling custom formalities, if any. Movement of exhibits in the fair ground by agencies other than organizer's official agency is strictly prohibited. 18. The organizer reserves the rights of photography / video shoot of any stand /place for their own use. 19. All chargeable expense to exhibitor(s) must be settled before taking possession of allotted stand/shell/space. 20.
