SGC Breakfast Briefing with Mr Patrick Dahm Partner in Rodyk & Davidson LLP’s Litigation & Arbitration Practice Group The Singapore Government’s Enhanced Merger & Acquisition Scheme 2012 The Singapore Government’s Merger & Acquisition Scheme was introduced in 2010 in order to encourage companies in Singapore to grow their businesses through mergers and acquisitions.The scheme provides persuasive allowances and stamp duty reliefs for qualifying M & As. Enacted by Parliament in March this year, the qualifying criteria were again significantly enhanced with effect of 17 February 2012. The scheme now provides even stronger incentives to undertake a merger and acquisition in Singapore. This briefing will recall the M & A Scheme and introduce the new qualifiers that make the scheme more suitable for subsidiaries of German or European parent companies in Singapore. It will also outline the Singapore law aspects of a consolidation of two companies into a single commercial entity (“merger”) or the outright purchase of the shares or assets of another (“acquisition”). About the Speaker: Patrick Dahm is a partner in Rodyk & Davidson LLP’s Litigation & Arbitration Practice Group.His main areas of practice encompass a broad range of corporate commercial, mergers and acquisitions, corporate finance transactions as well as commercial and administrative litigation and arbitration.
