  9. Need G.A. approval on the following matters: • Amended Articles of Cooperation & By-laws: • Article II – Membership Section 6. Minimum Share Capital Subscription. An applicant for membership shall subscribe at least ten (10) common shares and pay the value of at least five (5) common share upon approval of his/her membership. However, no member shall own or hold more than ten per centum (10%) of the total subscribed share capital of the cooperative. The Board of Directors shall issue membership certificate and subscription agreement with such terms and conditions as may be deemed equitable. MSCCP 13TH GENERAL ASSEMBLY March 28, 2015

  10. Need G.A. approval on the following matters: • Amended Articles of Cooperation & By-laws: • Article V – Committees Section 13. Gender and Development (GAD) Committees. A Gender and Development Committee is hereby created and shall be composed of three (3) members to be appointed by the Board of Directors. Provided that at least one member shall came from the Board. The committee shall elect from among themselves a Chairperson. The Committee shall hold office until replaced by the Board. A GAD focal person (GFP) shall be designated by the Board from the recommendee(s) of the management. He or she must be an employee of the cooperative and shall perform GFP roles as additional function. MSCCP 13TH GENERAL ASSEMBLY March 28, 2015

  11. Need G.A. approval on the following matters: • Amended Articles of Cooperation & By-laws: ARTICLE V – Committees - Section 14. Functions and Responsibilities. • GAD Committees shall:  • Conducts gender analysis • Develops and recommends GAD and GE policies and programs/ activities/projects to the Board. • Monitor and assesses progress in the implementation of GAD programs/activities/projects towards achieving GE. • Submits report to the Board. • Provides directional guidance • GAD Focal Person shall: •  Coordinates and reviews implementation of GAD programs/activities/projects based on approved plans and budget. • Prepares performance reports and recommends policy improvements to the GAD Committee. • Gathers and analyzes gender-related information and other data. • Provides administrative services to the GAD committee. Need G.A. approval on the following matters: Goal: Regularly update the internal procedures regarding the operations - last Approval: May 17, 2014 Important Points: 1- Manual of Operation: - New procedure: Bills Payment (procedure confirmed by BOD on August 2014). - Wording: “Satellite Office” instead of “Branch” and “Head Office” instead of “federation” 2- Loan Guidelines - New Product: OFW Loans, Motorcycle Loans, Corporate Employees loans - Delegation to Satellite Officers to decide about some Regular Loans under the control of the Credit Committee officers and the management.
