Covering Note Dear Sirs: Silatco. have noticed that many foreign entities, of individual or corporate natures, plan to have a "Legal Presence" in Kuwait & when they pursue such endeavor in a new area to them, they come across & encounter unknown hurdles and obstacles such as: The local taxation, Arabic language barrier, follow-up of trade licenses renewal, recruitment and employment license hurdles, management and distribution of monthly financial transfers, shipping, handling, insurance etc. Other foreign entities that do have a "Presence" in Kuwait - through a local representative, "Agent“ or through a JV formed under the corpotate type of, say a WLL (LLC), encounter many obstacles as a result of certain misapplication or misunderstanding of the legal rule pertaining to, e.g., shares’ distribution being 51% to Kuwaiti nationals (as Min) and 49% to foreigner (as max), "Control" powers (voting & management) as well as “Title” (ownership). Certain other commercial and para-legal arrangements shall be addressed prior to - and after - incorporating the local WLL entity in order to cover issues of, inter-alia, taxation, collaterals, insurance, bank accounts, title, management, voting etc. • Other legal "variations" of the above noted module may be arrived at upon becoming further aware of the foreign company's business plan, business objectives and other issues of relevance. Such variations can be tailored to meet the foreign company's needs through careful analysis by our administrative and legal team together with the foreign company's team. • All Administrative and logistical services which the “ foreign entity” would need in Kuwait, with respect to its activities, employment and staff, can be provided by our company on clear terms to serve the best of the “ foreign entity’s” interests in Kuwait.
