Baggage • IGTI MOU - ASME: crafted in past era to resolve issues of an old structure, needs re-drafting - IGTI: relevant today & must be enforced for independent governance in new structure • Attitudes • Trust issues • Us vs Them • Walls • Custodial funds & financial models • Ownership
1. Finances Ongoing Institute needsinFAIR Implementation 1. Full disclosure and understanding of FAIR allocations • Transparent, Negotiated, and Understood 2. Oversight and benchmarking of costs (HR, IT, etc.) • Appropriate with checks and balances • Competitive 3. Involvement in budgeting process and revenue sharing decisions 4. “Affordable & Workable” financial model Gives clarity and trust
1. Finances Current process is driving undesirable actions • “IPTI… will decide to cut value-added member programs & services not initiate new ones rather than run deficits…” • “IGTI will pay deficits from reserves and/or change programs and thus not have revenue to provide needed member services..”
2. Governance Institutes seek governance model having: 1. Clear and appropriate Chain of Command 2. Clearly defined authority & boundaries 3. Clarity on staff relationships 4. Process for working and growing together Jointly developed and jointly approved
2. Governance Current process is having unintended consequences • IPTI… “You don’t have to tick off 6,000 IPTI members to scuttle things, just 10…” • IGTI/IPTI… “What is a volunteer worth to ASME?”
3. Communication Frankly often poorly done in past Tom, Mike(s), the Institutes’ staff/volunteers and I have renewed commitment to tangible, significant improvement Clear, accurate and timely
Shared Commitment (Team approach) “IGTI & IPTI are volunteer service organizations committed to teaming with ASME to - Serve members, non members, industry - Provide“Mission” and “Margin” activities Build a model that better recognizes volunteer contributions
In Progress Plan Forward 1. Fully understand/communicate/address/ implications of FAIR & COFI decisions on Institute operation 2. Draft new Operating Model for Institute Governance 3. Time-out in implementing FAIR in FY08- Subsidize institute G&A- Recognize Volunteer worth & revenue sharing 4. No action by BOG at this time, update as needed
