  2. Why look at Media Corporations? • Super powerful • Relationship between ownership and control • Of messages • Information • Price • Government/Politics

A Corporation is??? • Legal entity/State Chartered • Ownership=stock shares • Publicly owned in private sector=shares sold in stock exchange • Majority shareholder= majority of control • Stockholders own equity in the corp. • Privately owned=ownership of the company's stock by a small number of holders who do not trade the stock publicly • Not “really” publicly traded • Common(Vote)/Preferred (Dividends)

  4. A Corporation is??? • Independent existence=eternal • Eternal individual??? • 14th Amendment • “Corporate Personhood” • Natural vs. Legal Persons • Privacy, lobby, sue, free speech, own property • Protects shareholders from personal liability

  5. Who Owns It??? • Stockholders • Board of Directors • CEO/Managers • Proxies??? • Annual stockholder meetings vote and vote for board of directors members/management. • Annual reports???

  6. 2 Levels of Corporate Control? • Allocative: • Large Shareholders • Buying/selling (companies, toys, etc.) • Mergers/buyouts/acquisitions • The Board • Operational: • Mgmt, CEOs…hired at Allocative Levels • How many records, when, who? • Cutbacks, promotions • Day to day decisions

  8. Vertical Integration??? • Owning companies at different points on the production chain • Different product/service to satisfy one need • Why good? • $$$, more profit baby!!! • Ultimately leads to??? • More concentration/consolidation • Diversification/synergism/globalization

  10. Horizontal Integration??? • A firm in the same industry and in the same stage of production “merges” with another firm in the same industry and in the same stage of production. • Content ACROSS industries/markets • Vertical???

  15. This all leads to??? • 1 (Vertical Integration + horizontal integration=) • Concentration/consolidation • Globalization • 2 (Diversification + synergy=) • Concentration/consolidation… • Globalization… • In other markets and industries • What does 1+2 =???
