According to our standing rules, the BOARD OF DIRECTORS consists of the EXECUTIVE COMMITTEE plus CHAIRPERSONS of STANDING COMMITTEES. All of these positions count toward quorum.
According to our standing rules, STANDING COMMITTEE CHAIRPERSONS are appointed by the PRESIDENT, with BOARD OF DIRECTORS approval. A STANDING COMMITTEE is an ongoing committee with important year-round business, and a standing committee should have a chairperson who is willing and able to attend BOARD OF DIRECTORS meetings.
