Current Situation: Tom S. sees the Freezers as a commodity. Relative to other products – freezers take a lot of engineering and shop hours. Tom partnered with VDL to manufacture “TS Tech” designed ammonia freezers. There is a verbal agreement not to sell these designs to other customers. VDL is a € 2.3 B Euro manufacturing conglomerate making a variety of products across 30 plants. VDL current contracts manufactures $12m/year of freezers for AFE – for North America and as far as we know, VDL has not shown any interest to sell freezers direct to potential customers nor does it have any plans to introduce European sales at this point. Action Item: Need to decide what type of sales agreement / supply agreement globally or regionally is appropriate for VDL for both the short term and/or long term.
