EXAMPLE: • Consortium X would like to subscribe to Shareworld for its members • Consortium X has 37 members and 425,000 FTE’s • Shareworld’s Base cost is $6,000.00 • 425,000 FTE’s = discount 62.50% of base price • FTE cost = $.195
DATA RIGHTS/TERMS AND CONDITIONS • Annual or Multi-Year Contracts • Non-exclusive, non-transferable license to access our products • Thomson is not responsible for equipment used to access our products • No reverse engineering, duplication, or re-distribution of data or software without permission • Audit Rights- Not involved with heavy monitoring of usage
THOMSON’S COMMITMENT TO THE CLIENT: Sample language IBCM will make the Licensed Material as identified in the Subscription available in digital form on-line to Authorized Users during the term of the subscription. IBCM shall operate one or more locations at which the Licensed materials will be stored in digital form accessible by telecommunications links between such locations and the Customers and Authorized Users workstations.
THOMSON’S COMMITMENT TO THE CLIENT: IBCM shall use reasonable effort to make Licensed Materials available on-line promptly after their publication in print or other electronic forms. IBCM shall provide reasonable efforts to provide continuous availability of the Licensed Materials on-line, subject to periodic unavailability due to maintenance of the server(s) and excluding downtime related to equipment or services outside the control of IBCM including public or private telecommunications lines or any Internet nodes or facilities. IBCM shall use reasonable efforts to assure that the online system performs at least as well as similar online systems offering similar materials to similar users.
THOMSON’S COMMITMENT TO THE CLIENT: IBCM will provide Customer telephone support during the hours of 8:00a.m. until 8:00p.m., Eastern Time, Monday through Friday, excluding holidays. We are hoping to have full 24/7 coverage by 1/1/2002.
