  8. 15/11/2023, 22:56 Best Home Delivery Grocery App | Quickart Grocery App Dubai b)yourviolationofanyoftheprovisionsoftheseTermsofUse,including,without limitation,anyofthewarranties,representationsandundertakings; c)yourviolationofanyapplicablelaws,including,withoutlimitation,data protectionoranti-spamlaws;or d)themannerinwhichyouuseourServices,including,withoutlimitation,that thecontentyoupost,theitemsyoulistoryourtrademarksinfringethe IntellectualPropertyRightsofanythirdpartyorthatthecontentofyourlistingsis slanderous,defamatory,obsceneorviolatesanyotherrights(includingprivacy rights)ofanythirdparty(includingotherSiteusers). 6.SUSPENSION,TERMINATION& CANCELLATION 6.1Wemay,atoursolediscretionandwithoutprejudicetoanyofourrightsand remediesandwithoutanyliabilitytoyou,wemaylimit,suspendorpermanently withdrawyouraccessofourServices,cancelanyproduct(s)orderand/orremove hostedcontentsubmittedbyyouforanyreasonincluding,withoutlimitation,the following: a)ifwebelievethatyouhaveinfringed,breached,violated,abused,or unethicallymanipulatedorexploitedanytermoftheseTermsofUse; b)IfyouuseourPlatformorServicesforanyunlawfulandfraudulentpurposes orinconnectionwithacriminaloffenceorabuseourpolicyandrules; c)Youaresuspectedofinventoryabuseorplacingbulkorder.Thefollowingshall (withoutlimitation)constituteinventoryabuseorplacingbulkorder: i.Productsorderedarenotforself-consumptionbutforcommercialresale; ii.Multipleordersplacedforsameproductatthesameaddress,depending ontheproductcategory; iii.Bulkquantityofthesameproductordered; iv.Invalidaddressgiveninorderdetails; v.Anyabuseorfraudusedtoplacetheorder;or vi.Anyorderplacedusingatechnologicalglitch/loophole. 6.2Wereserveourrighttotakeappropriateactionifyouaresuspectedofacting fraudulentlyorifyoufileinvalidand/orfalseclaimsorprovidesfalse,incomplete,or misleadinginformation.Youmaybeconsideredtobeengaginginfraudulent activitiesifanyofthefollowing(withoutlimitation)aremet: a)youdon’treplytothepaymentverificationmailsentbyus; https://www.quickart.ae/terms-conditions.html 8/12

  9. 15/11/2023, 22:56 Best Home Delivery Grocery App | Quickart Grocery App Dubai b)youfailtoproduceadequatedocumentsduringthepaymentdetails verification; c)youmisusecredentialsnotbelongingtoyou; d)youuseinvalidaddress,emailandphoneno; e)youattempttooveruseavouchercode; f)youreturnwrongordamagedproduct; g)yourefusetopayforanorder; h)forCODitems,youusefakecurrencynotestomakethepayment; i)youabuseorharassthedeliverystaff; j)miscellaneousactivitiesconductedwiththesoleintentiontocauselossto business/revenuetoQuickart; k)yourreturn,undeliverablerateisveryhighandoftenthereturnedproducts aremissing,fakeordamaged;or l)Repeatedrequestformonetarycompensation. 6.3IfyouraccesstoourServicesorourPlatformisterminatedforanyreason,wemay deleteanycontentorothermaterialsrelatingtoyouruseoftheService(including anycreditsearnedthroughloyaltyprogramsorrewardpoints)andwewillhaveno liabilitytoyouoranythirdpartyfordoingso.However,yourtransactionsdetailsmay bepreservedbyusforpurposesoftaxorregulatorycompliance. 6.4Fortheavoidanceofdoubt,anyamountspaidandreceivedbyusinrelationtoa cancelledproduct(s)orderwillberefunded. 7.REPORTINGVIOLATIONSOFTHESEREQUEST TERMSOFUSE 7.1WearecommittedtoensuringthatlisteditemsandcontentonourSitecomply withtheseTermsofUse.Ifyoubelievethatalisteditemorcontentbreachesthese TermsofUse,pleasenotifyusonthedetailsinclause8.12andwewillinvestigate. 8.QUICKARTAFFILIATES&ADDITIONAL FUNCTIONS 8.1QuickartGeneralTradingLLCOwnedbyQuickartGeneralTradingLLCand/orits affiliates("Quickart’sAffiliates")providewebsitefeaturesandotherproductsand servicestoyouwhenyouuseorsign-upasabuyerand/orsellerontheSite.“Affiliate” https://www.quickart.ae/terms-conditions.html 9/12

DisputeResolution. IfyouhaveanissuewithourServices,pleasecontactus.Wewill endeavourtoresolveyourissueassoonaspossible.AnydisputesorClaimsarising outoforinconnectionwiththeseTermsofUse,includinganynon-contractualrights orobligationsarisingoutoforinconnectionwiththeseTermsofUseshallbereferred toandfinallyresolvedbyarbitrationundertheArbitrationRulesoftheDIFC–LCIA ArbitrationCentre,whichRulesaredeemedtobeincorporatedbyreferenceintothis clause.Thenumberofarbitratorsshallbeone.Theseat,orlegalplace,ofarbitration shallbeDubaiInternationalFinancialCentre.Thelanguagetobeusedinthe arbitrationshallbeEnglish. ThirdPartyRights. ApersonwhoisnotapartytotheseTermsofUsehasnorightto enforceanyofitsterms. RelationshipoftheParties. NothingcontainedintheseTermsofUsewillbedeemedor construedbythepartiesoranythirdpartytocreatetherelationshipofpartnership, jointventureoragencybetweentheparties,itbeingunderstoodthatthepartieswill atalltimesremainindependentpartiescontractingforServices. FurtherAssurances. Thepartieswilldoandexecuteorarrangeforthedoingand executingofeachnecessaryact,documentandthingreasonablywithinitspowerto implementandgiveeffecttotheseTermsofUsetoitsfullextent,including,without limitation,assistingeachotherincomplyingwithapplicablelaw. Assignment. TheseTermsofUsewillbebindinguponandenuretothebenefitofthe partiesandtheirrespectivesuccessorsandpermittedassigns.Youagreethatyouwill notassignortransfertheseTermsofUseoranyofyourrightsorobligationsunder theseTermsofUse,whetherdirectlyorindirectly,withoutfirstobtainingourprior writtenconsent,suchconsentnottobeunreasonablywithheld. Severability. IfanyprovisionoftheseTermsofUseisdeterminedbyanycourtof competentjurisdictiontobeinvalid,illegalorunenforceable,thatprovisionwillbe severedfromtheseTermsofUseandtheremainingprovisionswillcontinueinfull forceandeffectsolongastheeconomicorlegalsubstanceofthetransactions contemplatedherebyisnotaffectedinanymannermateriallyadversetoeitherof theparties. ForceMajeure. Neitherpartywillbeliableforanylossordamageorforanydelayor failureinperformanceduetoactsbeyondthecontrolofsuchpartywhetherornot suchactscouldreasonablybeanticipated(includingactsofGod,legislative,judicial orregulatoryactsofanyprovincialorthefederalgovernment,courtorregulatory authority,actsofanyofoursubcontractorsoranythirdpartyprovidersofgoodsor Servicestous,labourdisruptions,blackouts,embargoes).
