  3. Four basic structures to consider are as follows (this is not exhaustive): • Private Institution. • Public Institution. • "Joint Venture" by Memorandum of Understanding • Separate Non-Profit, 501(c)(3)

  4. Major factors to consider include the following: • Financing (construction and operations); • Risk Management and Insurance; • Location; • Dissolution, joining and withdrawal; • Governance; • Human Resources for RLSC employees.

  5. Some issues to consider: • Should there be "controlling" members, based upon dollars or volumes contributed? • Who should the administration report to? • What are the mechanisms for joining and leaving the Group? • Will members have a potentially recoverable equity stake? • Will there be any mechanism for a funding call?
