  3. Company Overview Our Business: ESI Entertainment Systems Inc. provides real time payment processing and risk optimization services to the global gambling industry. Our History and Background • ESI was formed in 2000 initially as a credit card risk management company. • ESI identified the need for an alternative to credit card payments due to 7995 rejections by the US issuing and acquiring banks. • Coupled Citadel risk management engine with ACH electronic checks processing for USA and Canadian consumers. • Citadel Checks was initially developed as a payment gateway solution. • ACH volumes have increased exponentially. Now process for approximately 85% of the top 100 sites. • Upon successful validation of the business models, ESI formed three subsidiaries: Citadel Commerce Corp, ESI Integrity, PlayLine. • myCitadel Wallet was launched as a stored value solution in 2005 to pursue “churn” model, and to position for geographic expansion. • Geographic expansion into Europe and Asia commenced in 2005. • Admission to trading on TSX March 2006.
