DeclaringtheLLPasDefunct:IncasetheLLPwantstoclosedownitsbusinessorwhereit isnotcarryingonanybusinessoperationsfortheperiodofoneyearormore,itcanmake anapplicationtotheRegistrarfordeclaringtheLLPasdefunctandremovingthenameof theLLPfromitsregisterofLLP’s. closingalimitedcompany Procedure: FileE-Form24withtheRoCalongwiththefollowingdocuments: Copyofdetailedapplication.ThereisaprescribedformatofdetailedapplicationinMCA whichneedstobesubmitted. Copyofauthoritytomaketheapplication. Copyofconsentofallthepartners. Copyofconsentofallthecreditors. Copyofaffidavitforeachofthedesignatedpartners. Copyoftheundertaking/indemnitybondforstrikingoffname. Statementofassetsandliabilitiesdulycertifiedastrueandcorrectbyauditor/chartered accountantinpractice. CopyofacknowledgementoflatestIncometaxreturn. Attested(byCA)copiesofPANandaddressproofofalldesignatedpartners/partners. AparagraphofreasonforwhichtheLLPisproposedtobeshutdown. Onceallthedocumentsareexecuted,thesamearefiledwiththeRegistrarine-form24. TheRegistrarwillkeeptheapplicationopenforaperiodofonemonthtocheckifthereare anyobjectionsandonceitissatisfied,anorderwillbeissuedtostrikeoffthenameofthe LLPfromitsrecordsandcompletetheprocess. Althoughthisprocessdoestakesometime,itisoneofthemostconvenientwaystoclosea LLP,whichhasnotundertakenanybusinessduringthelastoneyear. UnderCompaniesAct2013,aCompanycanbeclosedintwoways. VoluntaryRemovalofNameusingFormSTK2 Oncetheformisfiled,theRegistrarhaspoweranddutytosatisfyhimthatallamountdue bythecompanyforthedischargeofitsliabilitiesandobligationshasbeenrealized.ROC canalsoissueashowcausenoticeincaseofdefaultinfilingreturnsorotherobligations. Afteraboveformalities,ROCissuesapublicnoticeandstrikeoffthenameofCompany afteritsexpiry.
