The Invoice Document • Invoices are important for business reasons, but they are also critical tax compliance documents. • An example: for most tax systems the invoice is the pivotal information piece for VAT payment and deduction. Therefore, companies must take public law constraints into account when they change their invoicing processes.

Electronic is it Legal? • In the past, the question of whether invoice automation was permitted -- and if it was, under what conditions -- could only be answered on a per-country basis. • The European Union Invoice Directive* has since mandated that tax authorities in all EU member states accept electronic invoices for VAT purposes. This clarity has boosted business enthusiasm for Internet-based invoicing processes. * = COUNCIL DIRECTIVE 2001/115/EC of 20 December 2001 amending Directive 7/388/EEC with a view to simplifying, modernising and harmonising the conditions laid down for invoicing in respect of value added tax

  14. Background - Conditions • Since the Directive went into force in January 2004, there has been a growing trend of e-invoicing use in most EU member states. However, the acceptance of e-invoices by EU governments is subject to a certain conditions: • First, the customer must agree to receive invoices in electronic format • Secondly, the integrity and authenticity of the electronic invoices must be guaranteed in both transport and storage.

Background – Authenticity and Integrity • The EU Authenticity and Integrity requirements can be met in two ways: • Through Electronic Signatures The Invoicing Directive allows member states to choose from two e-signature options; the advanced or qualified level. • Advanced Electronic Signatures are commonly viewed as “policy-based PKI digital signatures” • Qualified Electronic Signatures are Advanced Electronic Signatures based on EU-wide standards. • Through EDI (typically EDIFACT or ANSI x.12) with sufficient security processes

Background – Authenticity and Integrity, cont. • Member states can also accept “other means” to fulfill the authenticity and integrity requirements; however, these alternative means (such as private intra-bank networks) are only valid for in-country transactions and are not sanctioned for use outside of the host country
