Introduction • What is the best model for Board governance? • It Depends!! • Need to look at your current phase of organizational development.
Phases in Board Development • Grassroots Boards • Strategic Governance Boards • Power Boards
Organizational Lifecycles & Board Structure • Start up – most often “grassroots” • Growth – move to “strategic” • Mature – “strategic” with “power” players • Decline – can occur after any stage if board out of touch with strategic needs • Turnaround – small, bold, “strategic” leadership on board & staff • Terminal – small with focus on due diligence
Grassroots Boards • Do the “work” of the organization • Fundraising based on who you know • Board members see themselves as “volunteers” • Staff roles, if any, overlap Board roles • Need to carefully state expectations of each other
Strategic Governance Boards • Set & monitor outcomes • Set and monitor policy (prudent/ethical behavior) • Set strategic goals, including fundraising • Evaluate the Executive Director • Clear Board, staff, volunteer roles • Give and get
Power Boards • Provide access and name/corporate recognition (High level give and get) • Act in an advisory capacity but stay out of operations • Strong staff leadership and strategic direction

Major Board Role in Fundraising • Ensure organization is worth giving money to: • what difference? • for whom? • at what cost? • using a prudent and ethical manner The Case Statement
Major Staff Role in Fundraising • Provide data to support outcomes • Gathering of “stories” to be used to demonstrate effectiveness • Ensure consistency of message and process • Maintain fundraising support systems for mailing list/prospects/donor recognition
Tips & Techniques • Create a Fundraising Advisory Board to simulate “Power Board” • Be careful of mixing Board types - conflict inevitable in different expectations • A Board member “ask” supported by staff to answer technical questions is usually a good mix.
