Role of State in implementation of major PPP road projects “EGNATIA ODOS S.A.” • According to the MoU and following a proposal by the Greek State, the Steering Committee of the BSRH assigned the responsibility of operation of the Technical Secretariat for the execution of the project to “EGNATIA ODOS S.A.”. • “EGNATIA ODOS S.A.” is a legal entity governed by private law in the form of a “Société Anonyme” with the Greek State (Ministry of Infrastructure, Transport and Network) being the sole shareholder. • It is responsible for the design, construction, operation and maintenance • of the EGNATIA Motorway. EGNATIA Motorway and its vertical Axes are the backbone of the Northern Greece transport system, which runs “horizontally” from Igoumenitsa (Adria) to Kipi (Turkish borders). • Based on its wide range of experience and know how, EGNATIA ODOS has extended its field of activities to other areas in Greece and abroad.

INTERNATIONAL PROJECTS BULGARIA • EGNATIA ODOS A.E. is the preferred bidder, as head of a J/V, for the international tender providing Consultancy Services for the Management and Support of Transport and Regional Development Operational Programs (Roads Infrastructure Agency / RIA). ALBANIA • Management and Supervision Services for the road Ag. Saranda -Konispoli (Sagiada) construction works (Ministry of Public Works, Telecommunications and Transport / General Roads Directorate). • Consulting Services as head of a J/V for the World Bank international competition (IFC-WB), implementing operation and maintenance concession contracts for motorways in Albania.

MOTORWAY SERVICE AND REST AREAS Road Exploitation • Service Areas: 8 (developed) / 8 (awarded) / 5 (planned) • Provide: parking spots for stops / short-term parking • Offer: food, telephone, shopping and sanitary facilities • Road users can also find gas stations to refill their tank, do vehicle maintenance works or have breakdown assistance • 20 Rest Areas • Provide: parking spots for stops / short-term parking • Offer: open air rest areas with sanitary facilities

Role of State in implementation of major PPP road projects Service Concession Contracts: Development, Finance, Operation, Maintenance and Exploitation of Motorway Service Areas • Grantor: EGNATIA ODOS S.A. • Invitation to Tender: Open Procedure • Contract duration : thirty (30) years • Royalties: turnover rate • Infrastructure guarantee : two (2) years beyond contract’s expiration

Role of State in implementation of major PPP road projects Service Concession Contracts: Development, Finance, Operation, Maintenance and Exploitation of Motorway Service Areas • Design principles: technical guidelines • Expropriation: during motorway construction and operation • Location closeness: ca. 40 - 90 km distance • Traffic volume: ca. 5,000 – 20,000 vehicles / day (AADT) (depending on specific section) • Traffic break: ca. 5% - 10% all vehicles

Role of State in implementation of major PPP road projects Service Concession Contracts: Development, Finance, Operation, Maintenance and Exploitation of Motorway Service Areas • Catering and fueling activities • Develop, equip and maintain following infrastructure: • Travelers’ and Vehicles’ Service Building • Parking lots for light and heavy vehicles • Sanitary facilities and sewage system / plant • Electricity, telecommunication and water networks • Landscaping and adjustment of road network
