(Note: The Vail Soul Music Festival committee reserves the right to close down an exhibitor/participant booth if the items being sold are not identified on the application and approved through the committee.) 2. VSMF Soul Village Vendor Booth Terms & Conditions (Page 2 of 3) • Vendor Event Details: • Date: August 20th and 21st of 2010 • Location: Lower green field, in front of Betty Ford Gardens. Vendor Space is outside. • Booth Hours: Friday 3:00 PM to 9:00 PM, Saturday 2:00 PM to 8:00 PM • Booth Setup Time: 2:00 PM on Friday 1:00 PM on Saturday • All booths must be closed down and removed from area no later than Saturday (08/21) at 11 PM • Vendors are required to participate in all hours listed above • Vendor Cost: • Non Profit $225 • For Profit $425 • Food Vendors $500 • Acceptance and confirmations will be given on or before August 6, 2010. • No cancellations after August 6, 2010. There is non refundable fee of $50 for all cancellations. • If you are a non profit organization, please provide proper 501-C3 certified documentation • Application deadline is July 31, 20100. • Each vendor must fill out a Temporary Business License/Special Event Sales Tax License application. Cost is $75 and is non-refundable. Make check payable to the Town of Vail. Application can be found at www.vailgov.com , Vail Information, Special Events, Permits & Licenses, Attachment B – Special Events Sales Tax Information. Your temporary business license/special event sales tax license must be displayed on-site and in full view for the duration of the event for which it was issued. • Sales tax in Vail is 8.4% • Town of Vail, Sales Tax Administrator can be reached at 970-479-2125. • Booth space will be an 8’x8’ space located outdoors, next to the Ford Amphitheater. Each Vendor will be given a 6 foot table with linen. • If you have special booth requirements, please state them on the application. • Vendor Rules & Regulations: • VSMF has the right to cancel or remove the sell of merchandise, food or beverage that is deemed inappropriate by the VSMF vendor committee. • VSMF is not responsible for lost or stolen items, during setup, entire festival hours or breakdown times. VSMF encourages vendors to take proper measures, steps and precautions to secure their items. Vendors should store items in a safe location, when their space is not tended. • Vendors displays and materials must stay in specified 8x8 area assigned to vendor. • No loud speakers, amplifiers, television receivers can be utilized in vendor space. • Vendors are not allowed to share booth space with other exhibitors. • No pets, alcoholic beverages or open flames are permitted at the festival. Subtract $50 for an Early Bird Discount Application must be submitted before 06/30/10 to receive the discount.

3. VSMF Soul Village Vendor Booth Terms & Conditions (Page 3 of 3) • The VSMF is a GREEN event! We encourage each vendor to strive to support our green initiatives by using recycle bins. Each vendor will be responsible for providing their own trash bags and maintaining a clean environment. • Vendor participant agrees to INDEMINIFY and HOLD HARMLESS Vail Soul Music Festival from any claim, cause of action, suits for damages. • Vendors are not allowed to use the Vail Soul Music Festival name or logo on any merchandise, letterhead or any sellable items or give aways for any business reason. • Vendor questions and completed applications should be sent to Shontell at shontell@vailsoulmusicfest.com • By signing this form, you have read, agree and comply with all of the VSMF terms and conditions.
