Framework + Key Terms of Partnership • Program Delivery • Dominican delivers Core Curriculum to Make School at Dominican • Make School delivers Computer Science courses, up to a minor in Computer Science, to Dominican • Course Costs • Swap model, campus with outstanding balance of courses reimburses partner • Operations Costs • Make School pays Dominican to hire a Dean + Associate Dean • Make School invests in Dominican technology systems • Make School pays operations costs incurred by Dominican • Payments divided 60-40 between cash and preferred stock options • Exclusivity • Neither party will provide similar services to another entity until partnership is operational (~January, 2019)
