  2. PURPOSE • To form an effective investment organization that makes sound decisions and pools the resources of its members into one common portfolio.

  3. Operating Principle • Market Street Investment Group operates in an environment that fosters development in understanding the market to create individual wealth for its members and clients. MSIG utilizes financial models and publications to make investment decisions. Shareholders are made aware of all decisions made by its governing board charter members).

  4. Current Executive Board • Corey Johnson- Chair, VP of Client Services • Wesley Garrison – Co-President, VP of Portfolio Management • Micheal Neal – Co-President, VP of Operations • Shannon Smith – VP of Management Information Systems • Mike Spencer – VP of Treasury & Accounting

  6. Current Setup • Initial Investment of $500 to flow into a Scottrade account by 11/3/2005 • Subsequent monthly installments of $100/month • Shares will be accounted for based on $25/share. • Voting rights based on majority decision – 12 MMA on vesting and exercise rights

  8. Information on Personal Expenses In general, all personal expenses are out of pocket. However, chartered members may deduct these expenses, if they pertain to business meetings and functions, luncheons, or visits with potential clients. Some approved items: • Travel to and from meetings • Conference and Regular Phone Call expenses • Food at meetings • Lunch w/ potential clients

Clients and Other Investors • $59.95 Startup and Portfolio Management Cost • 10% of their profits flow into the charter members share account – they do not participate in the 11-13 member board meetings. • Fill out the non-liability contract • Monthly Portfolio Update Tracker and Statements - $19.95/yr. • Annual Update - $4.95/yr. • Opt Out for $100 penalty + (1 to 5% of investment), voted on by the board.
