Town of Kent (Potential Town WWTP) • April 2010 - FrangelBegins Upgrade Construction. • April 2010 - Kent Informs DEP of their Plan to Consolidate Proposed Town WWTP with Frangel. • Estimated Flow for proposed Town District 20 - 40kgd. They want Frangel Upgrade $. • Proposed Town WWTP will not fit on Frangel site. • August 2010 - DEP issues “Stop Work Order.” Town given 6 months to identify a suitable site and most important come up with funding.
Town of Kent • Initial Proposed Town WWTP District
Town of Kent – Initial WWTP District • Fall 2010 - DEP discussions with Kent Manor on sharing their capacity with Town. • Winter 2010 - Initially Town not interested. • April 2011 - No significant progress on Town plan. They had not secured necessary additional funding. • April 2011 - DEP rescinds “Stop Work Order” at Frangel. Construction resumes.
Kent Manor • 546 bedroom count sub-division and 70kgd WWTP approved. • Financial difficulties, law suits and market conditions have delayed start of construction. • Kent Manor willing to reduce bedroom count and share WWTP capacity with Town • Kent Manor initiates meeting with Town to discuss Town Plan.
The Final Chapter • August 2011 - Town & Kent Manor present a revised Plan • The Plan mirrors DEP’s original Vision, one WWTP not three. • August 2011 - Town & Kent Manor request a second DEP Frangel “Stop Work Order”. • DEP refuses but agrees to begin discussions on how to make the Plan work and protect DEP’s interests.
The Plan • Expand & Construct Proposed Kent Manor WWTP to 103kgd: - 60 kgdfrom Kent Manor. - 3 kgdfrom Frangel. - 30 kgdfrom existing sources in the Town. - 10 kgdfrom potential new sources in the Town. • Construct Town Sewer system • Decommission Frangel WWTP

The Final Chapter – Benefits of the Plan • Environmental • 1 WWTP instead of 3 • Elimination of Failing Septic Systems • Cost • Positive Good Will with Local Municipality
Implementation of the Plan • Term Sheet: • DEP pays 30% Kent Manor WWTP Capital Costs. • Town and Kent Manor pay 70%. Town Share from Water Quality Funds • DEP pays Town the savings from Frangel Upgrade vs. Connecting Frangel to Town Sewer System. These Funds to be used to construct the Town Sewer System. Remaining Funds to be returned to DEP. • Indemnification Agreement: • Indemnification Schedule detailing major milestones to Implement Plan and financial exposure to Town and Kent Manor for failing to complete project.
