PCA: A legal entity • To ensure the sustainability of PCA, the PCA was registered with the SEC • Initial plan was to register PCA as a foundation but this required a deposit of P1 million • Articles of Incorporation and By-Laws were formulated by the Coordinating Committee where all sectors were represented • PCA was incorporated as a non-stock, non-profit corporation on November 23, 2003 as PARTNERSHIP FOR CLEAN AIR, INC.
Incorporators and Board of Trustees • Incorporators Rey Marquez, Dan McNamara, Alberto Suansing, Charles Melhuish, Cornelius Huizenga, Glynda Bathan, Jocelyn Manalaysay • Board of Trustees Fr. Daniel McNamara, Manila Observatory (Chair) Rey Marquez, Philippine Institute of Petroleum (Vice Chair) Alberto Suansing, Transport Sector (Treasurer) Jocelyn Manalaysay, Executive Director (Secretary) • These set of officers are temporary. It is proposed that election of officers from among the members of PCA be held in the first quarter of 2006
Government & Development Agency Members Representation from Government The PCA By-Laws state that government will be represented by DENR and DOTC in the Board as ex officiomembers. Nominees from DENR and DOTC will be appointed by the Department Secretary and should at least be Undersecretary level. They will have the rights and privileges of Trustees, exceptthe right to vote. Representation from Development Agencies A member from the international donor community or development agencies that is a current grantor/donor will also be invited as an ex officio member. The representative of the development agency will also not have the right to vote.
Secretariat Secretariat Full time PCA Coordinator with an office at the Manila Observatory Role of Coordinator • Execute decisions of Board of Trustees • Screen and submit to the Board project/program proposals • Prepare funding proposals and submit them to the Board • Monitor implementation of approved projects/programs • Direct and oversee activities of the organization • Present to the Board of Trustees and to members an annual operation plan and an annual budget (together with the Treasurer) • Present a report of activities after each fiscal year • Perform such tasks and functions assigned by the Board of Trustees
Clarifying PCA Roles • Coordinative. Coordinator of air quality activities of members and stakeholders • Supportive. Supports members and stakeholders in air quality activities • Innovative. Undertakes activities in “new” areas of air quality management (e.g., piloting Bus Rapid Transit system in Metro Manila, pedestrianization of urban areas, promoting non-motorized transport) • Participative. Continues to promote air quality management as a multi-stakeholder effort • Transparent. PCA will continue to conduct its activities and operations in a transparent manner. • Responsive. PCA will run an efficient organization in order to be more responsive to the needs of its members and stakeholders.
Clarifying PCA Roles • PCA is also the national network of the Clean Air Initiative for Asian Cities (CAI-Asia) in the Philippines • Role of PCA vis-à-vis CAI-Asia will be discussed by Cornie Huizenga, Head of CAI-Asia Secretariat • Proposed priority activities of PCA for 2005-2006 will be discussed by Bebet Gozun
Funding for PCA • Core funding: Shell (P500,000) • Project funding: USAID Energy and Clean Air Program • Joint fund raising with CAI-Asia for specific activities or projects
