  6. Background • Customer: M/A-COM • Consignment → Turnkey • Consigned material: Customers provide material by themselves and ask us to make the product • Turnkey material:We find the supplier to get the material and charge the price by ourselves

  7. Objective • When M/A-COM is interested in changing from consign to turnkey, the contract can be a reference for renew

  8. Content of Contract • Heading: Names and addresses of buyer and seller • 1. Scope of Work • Buyer will purchase from seller with terms and states in the contract • 2. Terms • Last for how long (years)? Validity of contract, effective from when?

  9. Content of Contract • 3. Pricing • The price consists of turnkey price, assembly price, material price • 4. Turnkey Manufacturing Solution • Hana agrees to provide turnkey solution to M/A-COM

Customer Consigned Equipment, Tooling and Fixtures • Get M/A-COM approval for spare service replacement • Hana keeps the consigned equipment in good condition all time • When Hana returns the consigned equipment, the shipment arrangement expenses will be paid by M/A-COM
