CONFIDENTIAL Background • The South African Postbank Limited Act, 2010 (Act No. 9 of 2010) (‘‘Act’’), was assented to on 1 December 2010 and commenced on 22 July 2011 • The purpose of the Postbank Act is to provide for the incorporation of the Postbank Division of the South African Post Office, provide for the transfer of the enterprise of that Division to the new Postbank company, and to provide for the governance and functions of the Postbank • It further provides for the corporatisation of the Postbank and stipulates that it must be registered as a bank after it has satisfied the requirements of relevant banking legislation Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Problem Statement • In the process of implementing the Act, South African Reserve Bank (SARB) Deputy Governor wrote to the Minister highlighting some of the contentious provisions in the Postbank Act that are inconsistent with the Banks Act • Challenge is that some of the provisions impact significantly on the operations of the Office of the Registrar of Banks and their consequences when Postbank will be applying for a banking licence • The effect of these provisions is that they provide the Postbank with an unfair advantage over other registered banks in that the Postbank will benefit from the award of a banking license without having met the Office for Banks’ licensing criteria Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Discussion • The Office for Banks is responsible for registering institutions as banks, enforcing all the requirements of the Banks Act and supervising these institutions registered as banks • Supervision covers the establishment of certain capital and liquidity requirements, the continuous monitoring of the institutions’ adherence to legal requirements formulated in terms of supervisory standards, guidelines and statements of best practice recommended by the Basel Committee on Banking Supervision (‘‘BCBS’’) • This is in keeping with its mission to promote the soundness of the domestic banking system and to minimise systemic risk through the effective and efficient application of international regulatory and supervisory standards Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

  6. CONFIDENTIAL Discussion • Subsequent of the submission by the Deputy Governor of SARB, the Legislative Review Committee was established comprised on the SARB, National Treasury, SAPO/ Postbank and the DoC Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Objective • It is against this background that amendments are required to the Postbank Act, in other words, the Postbank Act must be limited to the most fundamental features of the Postbank, namely, its transition from a Division of SAPO to a separate, stand-alone and corporatised public entity • This is necessary to avoid infringement of the powers and functions of the Office for Banks • The amendments also seek to remove any inconsistencies with the Banks Act • Amend any provision that may negatively affect the operational autonomy and independence of the Office of the Banks Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Provisions of the Bill The Amendment Bill is divided into 14 clauses as follows: • Clause 1: seeks to delete the term “Registrar of Banks” since it is not used and is therefore redundant • Clause 2: seeks to amend section 3 of the Act on the incorporation by deleting the exclusion of section 37 of the Banks Act. Section 37 of the Banks Act deals with permission to acquire shares in a bank or bank controlling company. It is necessary for the Office of Banks to monitor and approve the acquisition of shares or interests by shareholders, the holdings of which are above specified thresholds or that exercise a material influence on the operations of a bank. The Office for Banks is required to assess the fitness, propriety or other qualification tests of entities wishing to acquire shares in a bank or controlling company.   9. CONFIDENTIAL Provisions of the Bill • Clause 3: Seeks to delete section 4 of the Postbank Act on registration as a bank. To register as a bank, the Postbank will be required to comply with the Banks Act in all respects. This includes consolidated supervision, which seeks to evaluate the strength of the entire banking group, taking into account all risks which may affect a bank, regardless of whether these risks are carried in the books of the bank or by its related entities including controlling company. Section 4 is removed to avoid any overlap, confusion or contradiction with the Banks Act Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Provisions of the Bill • Clause 4: Deletes section 8 of the Postbank Act since exemption from tax liability should be the subject of a Money Bill to be done by National treasury • Clause 5: Seeks to amend section 9 of the Postbank Act on the powers and duties of Company. Some of the powers set out in section 9 relate to authority already governed by the provisions of the Banks Act and require the prior notification or the approval of the Registrar of Banks • The provision overlaps with the jurisdiction of the Office for Banks, which is bound to cause confusion and legal difficulties Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

  11. CONFIDENTIAL Provisions of the Bill • Clause 6: Insert an additional requirement in section 13 of the Postbank Act. It seeks to make it clear that no person shall be appointed or remain as Board member if such person is not fit and proper to hold office as a member of a board of banking institution as contemplated in the Banks Act • Clause 7: Seeks to amend section 14 of the Postbank Act to remove references to “fit and proper” and the required “concurrence of the Registrar of Banks”. This provision is not required anymore due to the amendment of section 13 • Clause 7 further seeks to align section 14(1) (b) with section 8(5) of the South African Post Office SOC Ltd Act, 2011 (Act No. 22 of 2011) Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Provisions of the Bill • Clause 8: Deletes section 15(2) (e) since it is not necessary following the addition of section 13(1) (h) • Clause 9: Seeks to amend section 18 to make it clear that the Managing Director of the Postbank must be fit and proper to hold the office of Chief Executive Officer of a banking institution as contemplated in the Banks Act • Clause 10: Seeks to amend section 25 to ensure that the powers of the Minister to intervene fall away once the Company is registered as a banking institution in terms of the Banks Act Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Provisions of the Bill • This is necessary since provisions such as sections 60(6), 69 and 69A of the Banks Act which provide clear guidelines to address mismanagement, non-compliance or any areas of material maladministration apply from registration • Once Postbank SOC Ltd is registered as a bank, there should be no restriction on the application of the Banks Act • Clause 11: Seeks to amend section 26 of the Postbank Act to remove the requirement that the Minister make policies for the Postbank • All registered banks are expected to adhere to the Regulations relating to Banks, which are subordinate only to the Banks Act Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Provisions of the Bill • The mission of the Office for Banks is to promote the soundness of the domestic banking system through the effective and efficient application of international regulatory and supervisory standards and best practice • Requiring Cabinet to approve the policies and any further changes to the policies is not in line with such good practice and may result in confusing, multiple lines of responsibility and may also exacerbate a problem through slow or diluted responses • Clause 12: Seeks to insert a new section 26A. • It provides that in the event of any conflict between the provisions of the Banks Act and the Postbank Act, the provisions of the Banks Act shall prevail Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Provisions of the Bill • Clause 13: Seeks to amend section 30 of the Postbank Act • It ensure that any exemption under the Banks Act applicable to the former Postbank immediately prior to the transfer date , shall apply to the South African Postbank SOC Limited until it is registered as a bank as contemplated in section 3 • This is to ensure that the Postbank continues to operate as a division of the South African Post Office until registered as bank in terms of the Banks Act • Clause 14: Contains the short title of the Act as the South African Postbank Amendment Act, 2013 Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Process • The Bill was developed in consultation with the South Africa Post Office SOC Limited, Postbank Division of the South Africa Post Office SOC Ltd, National Treasury, South African Reserve Bank (the Office of the Registrar of Banks and the Office for Banks), and further approved by the following: the Economic Sectors & Employment Cluster on 17 April 2013, Cabinet Committee on 18 June 2013 and full Cabinet on 26 June 2013 Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development

CONFIDENTIAL Conclusion • The alignment of this legislation with the Banks Act would fast track the corporatisation of the South African Postbank • Most importantly the legislation would realise the vision of the Postal Policy, to establish a financial institution for mass mobilisation of savings and investment from the broad community and to create a bank of first choice for the lower income group • Furthermore, this amendment would realise the spirit of the Postal Policy in clause 9.12.3 with respect to Phase III of Postbank corporatisation Making South Africa a Global Leader in Harnessing ICTs for Socio-economic Development
