Both in Ireland and globally we have seen many failures of corporate governance
The Management of Management • The management of management aka corporate governance is concerned with the effective and proper management of the organisation • It is the system by which organisations are directed and controlled • It is about the structures and processes that are in place at the top of the organisation for decision making, accountability, controls and organisation
An organisation’s corporate governance framework needs to be clear, appropriate, understood and applied Uh-Oh… What should I do? R R R I NG
Your reputation is at stake • Personal • Organisational • Sectoral • National
Do the right thing – need for effective checks and balances and character “He [Sean FitzPatrick] had total control of the board.” (Source: David Drumm, Irish Times , 11 January 2011)
Good governance requires an interlocking system of structures, processes and controls Performance reports, Draft policies, Matters for board decision/information etc. Mission, Objectives, Policies, Reviews, Decisions, etc. Board CEO Strategic, objectives, goals & targets Board policies& decisions, etc. Operational plans & performance reports, Risk assessment & monitoring Items for decision /information, etc. Management
The Effective Governance Pyramid Source: Pointer & Orlikoff (1999) Vision Evaluation Governance issues Board information control Board agenda control Board committee work plans Board committee structure Board goals and objectives Annual goals and objectives CEO performance objectives Strategic plan Mission
Adoption of “The Governance Code” should be a priority for C&V organisations This code of practice for good governance is based on five main principles
Good governance is a not a tick box exercise • It has be ingrained and nurtured in the values behaviours and ethics of the organisation • It is about aiming to do the right thing always and regularly checking how you are doing
