3. WHAT DOES THE EXECUTIVE BOARD REALLY DO?

Oversees administrative work of the Association • Approves/publishes budgets for Association work • Carries out policies of the Governing Council between meetings of the latter • Exercises all powers of the Council in the management and direction of the business and professional activities of the Association in all cases in which specific directions have not been given by the Governing Council, during intervals between meetings of the Governing Council

5. EXECUTIVE BOARD COMMITTEES • Advocacy Coordinating Team • Committee on Social Responsibility • Development • Finance and Audit • Governance • Personnel and Compensation • Strategic Planning

6. ADVOCACY COORDINATING TEAM • Aligns organizational or public health policy and advocacy activities within and among APHA’s organizational units with the organizational or public health policy priorities established by the Governing Council • Reviews APHA advocacy activities to highlight critical campaigns and maintain focus for the Association • Advises the Executive Board on advocacy issues • Is empowered to help initiate Board action in support of important public health issues

7. COMMITTEE ON SOCIAL RESPONSIBILITY • Updates guidelines for gifts and donations • Reviews potential donors as mandated by Association Guidelines for Gifts and Donations

8. DEVELOPMENT COMMITTEE • Oversees and advises all development activities • Acts as resource to APHA staff (responsible for day-to-day work) • Explores ways to engage the Board in supporting and expanding development efforts

9. FINANCE AND AUDIT • Provides financial oversight for the Association • Oversees budget process; annual audit; Reserve Fund policies and practices; investment policies and practices • Monitors compliance with 501c(3) requirements related to financial matters

10. GOVERNANCE COMMITTEE • Monitors and evaluates Board processes, governance, and accountability • Develops and maintains a Board ethics guide, including the Board’s COI policy and processes

11. PERSONNEL AND COMPENSATION COMMITTEE • Evaluates the Executive Director • Reviews all documents related to Executive Director position (e.g., sabbatical) • Periodically assesses staff attitudes and perceptions about the quality of work life in the organization

12. STRATEGIC PLANNING COMMITTEE • Monitors implementation of and adherence to the strategic plan developed by the Executive Board and adopted by the Governing Council

13. COMPONENT-LINKED FUNCTIONS • Approves formation of Special Interest Groups and Forums, and to recognize Caucuses • Receives advice from Sections with respect to the Association and membership of the Action Board, the Science Board, Governing Council, Work Groups, Task Forces, and Standing Committees

14. Approves rules and regulations relating to the governance of the Sections • Provides liaison to Executive Board

15. EB RESPONSIBILITIES • CORPORATE: able to function in competitive environment • LEGAL: true to its purpose and responsibilities • FIDUCIARY: provide financial resources consistent with mission and nonprofit status

17. Elected Executive Board members are voting members of the Governing Council • Voice and votes from an Executive Board perspective

18. GOVERNING COUNCIL • Establishes policies for APHA, for guidance of Executive Board and Association officers • Amends bylaws and adopts rules for conduct of its own business • In amending bylaws, may not relieve Executive Board of its corporate duties of loyalty to the Association and fiduciary responsibilities

19. Receives and acts upon reports or recommendations from any organization constituent, Science Board, Action Board, Education Board, Standing Committees and Executive Board • Elects Executive Board, officers of the Association, and honorary members

20. Establishes Sections; combines or discontinues Sections; prescribes composition of Section Councils; formulates general rules governing component policies; recognizes Affiliates Associations

Action Board • Helps coordinate grassroots and grasstops advocacy activities • Takes action on APHA’s legislative priorities, action alerts and other advocacy campaigns • Collaborates with leadership and membership of the association’s other units and its state Affiliates • Chair and three designees serve as members of the Joint Policy Committee (APHA’s internal policy development body)

23. EDUCATION BOARD • Approves and provides continuing education for the public health workforce • Assesses ongoing educational needs and assets of the public and the public health workforce • Enhances the public’s knowledge of public health

24. SCIENCE BOARD • 16 members represent one of five core areas of public health: behavioral and social sciences, biomedical sciences and clinical practice, environmental and occupational health, epidemiology and statistics, health management and social policy • Participates in APHA policy development by ensuring all APHA policy statements are evidence-based
