  2. An Employee Stock Ownership Plan which is popularly known as ESOP, refers to an employee benefit plan in which an employee acquire stocks or ownership in the company. It is also sometimes referred to as a Stock Purchase Plan. ESOP are issued as direct stock, profit-sharing plans or bonuses. All employees are eligible to participate in the ESOP but It depends on the plan, It typically kicked after one to two years when an employee is hired. The main objective of ESOP is to increase the value of shares and performance of the company by involving stockholders who are also the employees of the company.   3. Eligibility Criteria to be a part of ESOP • Approval of shareholders (Private Companies): To offer ESOP, approval of shareholders is necessary by way of ORDINARY RESOLUTION. • Other than the Private Companies: Approval of shareholders is necessary by way of SPECIAL RESOLUTION.
