  2. UAMPS • Established in 1980 under the Utah Interlocal Cooperation Act • Operates under a Joint Cooperative Action Agreement which allows development, financing and operation of projects for generation, transmission and power supply management

  3. Project-based organization with 14 separate projects • Board of Directors (“Board”) set policy and provides overall control • Project Management Committees (“PMCs”) provide specific oversight of each project

  4. MEMBERS • 48 Members • 34 Equity Members • 14 Members • Six States • Arizona • California • Idaho • Nevada • New Mexico • Utah

  5. PROJECTS • Provides joint services to its Members • Services that cannot be provided individually • Provides services more economically and efficiently • Aggregates planning, generation and transmission • Forecasting • Power supply • Scheduling Agent • Power Pool

  6. MEMBER PHILOSOPHY • Member autonomy • Members responsible for their own resource needs (not an “all power requirements”) • Member resource needs continue to grow • Members elect to participate in projects based on their individual resource need

  7. MUNICIPAL GOVERANCE • Municipal Electric Utilities are regulated through the City Council • City Council control rates • State of Utah regulates the amount of cash transfers from the Utility to the General Fund • Asset of the community (Enterprise Fund) • Resource portfolio dictated by public involvement

  8. CONTRACT REQUIREMENTS OF A MUNICIPAL • Subscription amount limited to reasonable surplus • Open meeting requirements • Limited risk positions • Not-for-profit • Tax-exempt • Financing options • Ownership • Power purchase agreements
