FACTS AND FIGURES ON EMPLOYEE OWNERSHIP COMPANIES (AND EMPLOYEE SHARE OWNERSHIP PLANS) Most large Australian public companies have implemented broad-based ESOPs; Australia among the world leaders in terms of proportion of “Top100” companies that have ESOPs, and participation rate within these schemes; But poor record when it comes to unlisted companies; Today, employees not only looking for socially-responsible businesses, but workplaces that offer opportunities for participation, skills development, a better work-life balance, and a fair sharing of the wealth created through their efforts

BIOLYTIX®TECHNOLOGIES PTY LTD – ABOUT THE COMPANY Queensland-based company which has invented, patented, manufactures, markets, sells and services innovative on-site wastewater treatment systems based on “bio-mimicry”; Incorporated in 2001; Has grown from 5 (in R&D) to 50 employees since 2004; Has won 9 major awards (including State, National and global) in 3 years.

BIOLYTIX®TECHNOLOGIES PTY LTD – STRUCTURE AND MANAGEMENT Part of group of companies (with IP company, global licensor, and subsidiaries); Inventor is Managing Director, and was sole source of governance until 2004; With hiring of CEO, Board increased to 2; 10 functional areas/Departments formed, and Executive Team developed; With introduction of ESOP, Board increased to 3 as staff-elected Director was created (2005); Now, Board size increased to 4, with one independent.

CHARACTERISTICS OF TBESS – THE BIOLYTIX® TECHNOLOGIES’ EMPLOYEE OWNERSHIP SCHEME TBESS (The Biolytix® Employee Share Scheme) Trust established in 2005, with 3 Trustees, including CEO and 1 staff-elected Trustee, who is elected biennially by all staff; With posting of Annual Financial Statements, the Board decides (within the constraints of the “20% of employee share-holding” limit) the amount of above-budgeted profit which can be allocated as units to be held by the Trust until they are issued as shares to the nominated staff 3 years later; Any staff member who has worked for the company for the full financial year is eligible to receive an allocation of units; Units/shares are allocated to staff on the basis of a multiple of their “employment level” and their performance appraisal (done by self, peer and management).
