  2. Before Activity - Predict • In this chapter, we will learn about the 3 major forms of business ownership: proprietorship, partnership, & corporation • List some advantages/disadvantages of a proprietorship (1 owner) and a partnership (2 or more owners)

  3. 5-1 Business in the U.S. Economy • This lesson describes changes that have occurred in U.S. employment and changes in the types and numbers of businesses.

  4. The Changing U.S. Job Market • As the 21st century begins, there are striking changes in employment and careers in the U.S. • The beginning of the 21st century saw many new career prospects in the dot-com world • It also the decline of some traditionally important jobs in manufacturing and agriculture • In 2007, 144 million people held jobs • That number is projected to reach 165 million by 2014, an increase of almost 13% • By 2020, certain groups will have higher employment rates: Asians, Hispanics, African-Americans, and women

The Changing U.S. Job Market • Economic stress has led to downsizing the # of people employed by many companies • Companies streamlined production and implemented other cost-cutting procedures • Businesses required employees to take on new tasks and work extra hours • Economic pressures also resulted in the increased use of contingent workers – one who has no explicit or implicit contract for long-term employment • Some people take this this type of work because they cannot find permanent employment • Others choose it because they like the flexibility it offers

Businesses & the Economy • Most U.S. businesses are quite small • The largest number, nearly 19.5 million businesses have no employees other than the owner • About 4.5 million employ less than 20 people • Businesses play several key roles in the U.S. economy • They provide employment, they pay taxes, and they make and distribute products and services needed by consumers, government, and other businesses • Remember, businesses make the clothing, movies, music, food, and other items we use every day

Businesses & the Economy • Businesses may be large or small, simple or complex • A business may operate in only one community • It may have many locations across the nation or around the world • Although there are many types and sizes of businesses, all firms perform 6 basic activities: • Generating ideas • Raising capital ($) • Employee and training personnel • Buying goods and services • Marketing goods and services • Maintaining business records

  8. Types of Businesses • You, your family, and your friends use a variety of businesses to buy the things you want and need • There are 3 major categories of businesses: • Producers • Intermediaries • Service Businesses

Type of Businesses • Producers – create the products and services used by individuals and other businesses • They are responsible for using resources to make something that is needed by others • Ex) A builder obtains lumber, cement shingles, carpet, and paint to construct a house, factory, or office building; a cereal manufacturer buys wheat and oats, sugar, and dried fruit as well as cardboard, glue, and ink to process and package your favorite breakfast food • Intermediaries – businesses involved in selling the goods and services of producers to consumers and other businesses • Ex) Any retailer – Walmart, Winn-Dixie, American Eagle • Service businesses – carries out activities that are consumed by its customers • Ex) Dentists, doctors, lawyers, pet sitters, painters • Service businesses are the fastest growing part of the economy • More than 60% of all U.S. employment is now in service-producing businesses!

  10. Forms of Business Ownership • This lesson introduces the major forms of business ownership and outlines the strengths and limitations of each.

Businesses Ownership • There are 3 major forms of business ownership: • Proprietorship – a business owned and run by just 1 person • Easiest form of business to start and end • Partnership – a business owned and controlled by 2 or more people who have entered into an agreement • Partnership agreement – a written agreement along all owners that details rules and procedures that guide ownership and operations • Corporation – a separate legal entity formed by documents filed with a state • Articles of incorporation – a written legal document that defines ownership and operating procedures and conditions for business • Each state has specific information and rules about the creation of corporations

Choosing a Form of Businesses Ownership Proprietorship Disadvantages: Owner is responsible for all debts of the business If the business fails, the owner has almost no shelter from creditors Any money and other assets owned, whether used in business or not, can be claimed by creditors to pay business debts • Advantages: • Few legal requirements that must be met • Sole control over all business decisions • Owner receives all profits made by the business • He/she can determine how those profits are used

  13. Choosing a Form of Businesses Ownership Partnership Disadvantages: Disagreements among partners Each partner is liable for all of the debts if the business should fail • Advantages: • Easy to start • Owners are both responsible for key business decisions and functions

  14. Choosing a Form of Businesses Ownership Corporation Disadvantages: More difficult to form More legal requirements Decision making shared among many (the stockholders) • Advantages: • Limited liability of stockholders (owners) • Ease in transferring ownership

Other Forms of Businesses Ownership • As discussed, most business are organized as one of the 3 common forms • There are other choices of ownership: • Joint venture • Limited liability company (LLC) • Nonprofit corporation • Cooperative • Franchise – a written contract granting permission to operate a business to sell products and services in a set way • Ex) Jiffy Lube, Arby’s, Quizno’s Subs, McDonald’s

  16. 5-3 Organizational Structure for Businesses • The lesson provides information on how to organize effective businesses and alternative structures for businesses.

Designing an Effective Business Organization • It is not easy to create a successful business • Many new businesses fail in the first few years • A business needs to be well organized to help people do their work properly • An effective business begins with a clear purpose • The direction for a business comes from its mission statement – a short, specific written statement of the reason a business exists and what it wants to achieve

Designing an Effective Business Organization • Ex) The mission statement for Starbucks is to: • “Establish Starbucks as the premier purveyor of the finest coffee in the world while maintaining our uncompromising principles while we grow.” • After a mission statement is developed, the business set goals • Goal – a precise statement of results the business expects to achieve • Goals are used to define what needs to be accomplished and to determine if the business is successful

  19. Designing an Effective Business Organization • Finally, the business sets policies and procedures for the organization • Policies – guidelines used in making consistent decisions • Procedures – descriptions of the way work is to be done

  20. Types of Organizational Structures • Organizational chart – a diagram that shows the structure of an organization, classifications of work and jobs, and the relationships among those classifications Board of Education Superintendant ECBOE Org. Chart Principals Vice Principals Teachers

Types of Organizational Structures • Most businesses use a functional organization structure • In this type of organization, work is arranged within main business functions such as production, operations, marketing, and human resources • All of the people with jobs related to one of the functions will work together and report to managers who are responsible for that function • A newer organizational structure is the matrix organizational structure • In this type, work is structured around specific projects, products, or customer groups
