  5. JOIN AND DELIGHT Consumer’s Life TCI’s Values and Mission A Message from the Chairman A company’s lifeblood lies in the judicious use of its power, for it is a company’s mission to utilize its resources in an effort to be part of and improve the lives of consumers so as to turn the future of humanity into the here and now. The same applies to the implementa- tion of corporate social responsibility (CSR), which encourages the appropriate application of power rather than empty words. How does TCI implement CSR We approach it from three angles. The first of these is TCI academy, which emphasizes a human-centered approach to the cultivation of talent in three core areas—the biological sciences, the humanities, and the arts—and accomplishes these goals through encouraging a step-by-step process of reading, writing, thinking, and dreaming. The second angle is TCI’s realization of a true value-added cycle, in which discarded materials are recycled and efficient and eco-friendly environmental protection measures and equipment improvements are adopted to increase efficiency and achieve real environ- mental protection. For instance, the use of green energy on a large scale must be carried out in a practical, feasible manner if it is to be effective. The third and last angle is em- ployee care. We sincerely wish to invite our employee’s families and friends into the TCI family and make them proud to be a part of TCI. In doing so, we can spread positive energy through these relationships. These actions may not be reflected in the company’s stock price, but I believe they are most appropriate way in which we can use our power and capabilities. To us, the purpose of CSR is to bring the future to the present with through the judicious and appropriate use of our power and capabilities. VINCENT LIN The Chairman TCI Co., Ltd. 5 5 5

  19. JOIN AND DELIGHT Consumer’s Life Management achievements (1) Strategies for sustained and stable growth TCI will continue to seek stable growth this year. Expanding the business and strength- ening R&D and Precision iManufacturing will continue to be business strategy objec- tives to strengthen the company’s core competitiveness. (2) Expansion of business deployment and fully-linked network marketing with the goal of multiplying sales To achieve its sales growth target for 2018, TCI has developed three major policy directives in business deployment, including: a. Expansion of the business department to further market devel- opment TCI will continue to increase the number of personnel in the business department this year to service local markets. The six original operating regions will be subdivided into 26 operating areas. New branches will be set up in Germany, the UK, Italy, Spain, Turkey, Brazil, and India to stay close to local customers and expand the market. b. Fully-linked network marketing and business mobilization Strategies aimed at customer behavior will be implemented through online marketing, TCI’s Industry Weekly, trade show information, video value-added services, technology and product marketing publications, and regular company news releases, to increase customer connectivity and reliance. In addition, in response to the company’s expan- sion, apps will be developed to facilitate more effective management and immediate follow-up on business opportunities. c. Expansion of global trade and consolidation of biological resources Besides continuing to seek customers through the first-line brands in each market, TCI will adopt local thinking and offer local services to assess niche materials and technol- ogies or equipment in the global market, and will develop bilateral trade to increase the company’s global market share and build growth momentum for 2018 to achieve the target of multiplying sales around the world. (3) Strengthening R&D deployment: Consolidation of R&D capa- bilities in the academic sector and expansion of IBD applications in daily life a. Overall revenue went up from NT$3.110 billion in 2016 to NT$4.072 billion in 2017 for an increase of 31%, indicating continued sales growth in the various regions. b. In 2017, the mainland Chi- nese market grew by 32% to NT$2.6 billion compared to 2016, while sales in Europe and the US reached NT$500 mil- lion, a 125% increase that accounted for 12% of total revenues. In Taiwan, sales also increased, by 35%. c. The gross profit in 2017 was 40%, which was slightly lower than the 41.6% gross profit of 2016, mainly because the new green facial mask plant did not begin produc- tion until the fourth quarter and the initial utilization rate was low. d. The net profit after tax climbed from 16.5% in 2016 to 17.8% in 2017. Operating expenses went up 16%, but the ratio of operating expenses to overall sales dropped from 22% to 19%, an indication that the added expenses led to positive results. e. Earnings per share were NT$8.23, an increase of 37% compared to the figure of NT$6 (Note 1) in 2015. Note 1: The figure was the result of retrospective adjustment of transfer of surplus to capital. 2. Management Plans for 2018 In 2018, TCI will continue to maintain its commitment to its core corporate values: to apply Integrated Bioscience Design (IBD) to the development of high-performance products that meet the needs of consumers and continue to be a part of and to improve the lives of consumers and to achieve its goal of globalization. TCI will continue to work hard in to maintain the support and meet the expectations of its customers. 19 19 19

  20. JOIN AND DELIGHT Consumer’s Life 1.5 Global Operation Centers a. Nine major labs: To increase TCI’s R&D capabilities and deployment, five new labs have been set up, increasing the number of labs to nine: Next Lab, H&M Lab, MIA Lab, QODM Lab, EVE Lab, 17025 Lab, Gene Lab, ATP Lab, and Eagle Eye Lab. Through the joint efforts of these nine labs, the more effective transfer of R&D capabilities can be carried out to facilitate the development of products that meet the needs of consumers. b. TCI Academy: TCI Academy will apply corporate power to propel development in remote townships in Pingtung and in the biotechnology industry to enhance Taiwan’s international status. Eighteen outstanding local and foreign experts and scholars have been recruited as TCI Academy academicians to help promote the biotechnology industry and meet the Academy’s goals of setting up biotechnology R&D models, promoting the study of biotechnology, and using biotechnology research results to develop innovative applications. It is hoped that the participation of these academicians will promote the study of biotech- nology and that the impact of their work will enhance the status of Taiwan in the global biotechnology industry. c. Innovative biotechnology research applications will extend IBD applications in daily life. Healthy biscuits, chocolate, gummy candy, ice cream, etc. can be produced. Foods and health can be integrated to win the confidence of consumers and TCI will be another step closer to its objective of becoming a part of and improving the lives of consumers. (4) Production through fully-linked networks: To reduce costs, improve flexibility and increase individual productivity In 2018, TCI will build fully-linked network production systems in Panshi Park and Jinshan Park. An MES will be installed to enhance precision in manufactur- ing. The functions of the system include automatic warehousing and manage- ment, product order management, formula control, electronic weighing and material preparation, batch control, production equipment data collection, real-time control of key production parameters, lab equipment consolidation, quality control during production processes, and production traceability. Use of fully-linked network production systems can reduce waste and defect rates to bring up cost effectiveness, increase the flexibility of production lines, step up automation to promote individual productivity, and make stricter quality control and quality traceability possible. The plant will be able to collect data from mass production. In the future, smart preventive maintenance can be carried out to improve the utilization rate of the production lines. The Internal Audit Department is an independent unit directly under the board of directors which sets up and implements internal control systems in accordance with legal requirements. Its responsibilities include overseeing the internal control operations of TCI and subsidiaries, implementing annual audit plans and following up on improvement measures. The audit plans are determined according to identified risk items and must be approved by the board of directors. Special audits may be conducted when deemed necessary. The director of the Internal Audit Department is required to report existing deficiencies or potential risks to management immedi- ately and also report important findings discovered during audits to the board of directors on a regular basis. If necessary, reports can be presented to the chairperson and the Audit Committee at any time. 2. Specifics of internal control and risk management (1) The internal control and internal audit systems have been established in accordance with TCI corporate governance principles to ensure that financial reports are reliable, laws and regulations are observed, and management is efficient and effective. The internal control and internal audit systems are implemented through both internal and external audits in which operating procedures are inspected and results regularly verified to confirm the design of the company’ s internal control system, including the execution and effectiveness of oversight and management of subsidiaries. The internal control statements are produced according to audit working drafts while the results of internal control self-assessment questionnaire surveys by department heads can be used for corroboration. 31. JOIN AND DELIGHT Consumer’s Life 2.2 Integrity Management The company policy of integrity management is specified in the Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies, Corporate Social Re- sponsibility Best Practice Principles for TWSE/TPEx Listed Companies, Code of Ethical Conduct, and Statement of Internal Control. TCI and its subsidiaries are required to abide by the relevant laws and regulations in all business activities, adhere to the highest standard of professional ethics, avoid engaging in unfair competition, fulfill its obligation to paying taxes, fight bribery and corruption, and set up proper management systems to build an environment that is conducive to fair competition. 2.2.1 Valuing our Customers trust creativity intelligence TCI is committed to the principle of trust and focuses on innovation using smart technologies. TCI has long been committed to offering customers and consumers with high-performance products and services. TCI develops high-performance products using an integrated bio-science design process to join with and improve the lives of consumers. 2.2.2 Product Responsibility 1. Production control All TCI products are traceable. TCI uses the SAP (Systems Applications and Products) and ERP (Enterprise Resource Planning) systems to manage materials. Every batch of materials, including finished products, semi-finished products, raw materials, and even packaging materials, is placed under the strictest control. For instance, based on the batch number of one product, it is possible to trace information about the raw materials and suppliers for the batch as well as the inspection records. Conversely, it is also possible to trace all the products in which a given batch of raw materials has been used. 2. Raw materials control Once raw materials enter the incoming goods inspection area of the warehouse at TCI’ s Panshi Park warehouse, warehousing personnel record detailed information about the materials in the warehousing management system (WMS). At this point, the status of the raw materials is indicated as “under inspection” and such materials cannot be moved anywhere. 31 31 31

  32. JOIN AND DELIGHT Consumer’s Life Quality assurance personnel then inspect each raw material according to the pre-defined test items in the system. Through the TINS system, inspection results are transmitted to the SAP system which automatically assesses whether the item qualifies in accordance with established inspection standards. The status of materials that pass testing is changed from “under inspection” to “unrestricted,” and the materials are given ‘passed’ labels. Only then can the materials be used for ingredient preparation and batch feeding. 3. Food safety control The company has adopted a quality control and food safety policy that ensures compliance with food safety regulations, improvements to product quality, and assurance of customer satisfaction, so as to produce foods with integrity and conscience and to provide customers and consumers with safe and hygienic food products. TCI con- tinuously works to improve its system to boost customer satisfaction and pursue sustainable management. Food safety teams have been created and team leaders ap- pointed to establish, implement, maintain, and update the quality/food safety system. 4. Product performance control Over the years, TCI has been active in stepping up product research and innovation to offer customers and consumers high-performance healthcare and facial mask products and services. For this reason, and to help maintain healthy market mechanisms and structures, we stead- fastly abide by government regulations for the industry and do not engage in any illegitimate or unfair competition practices. Since 1980, when the company was found- ed, TCI has never been involved in any anticompetitive or antitrust practices or incidents. 2.2.4 Financial Funding In line with the government policy of promoting industrial innovation, improving the industrial environment, and increasing industrial competitiveness, TCI invested a large amount of funds in research and development in 2017. 35. JOIN AND DELIGHT Consumer’s Life 2.2.5 Since the company was founded, TCI has established internal regulations in accordance with the local laws where each office is situated to guide the actions of staff members, executives, and members of the board of directors. In addition, TCI pays close attention to administrative orders announced by the competent authority, domestic and international laws and regulations, and trends in investment markets to make timely revisions to com- pany regulations in the areas of environmental protection, occupational health and safety, anti-bribery and anti-corruption, fair competition, imports and exports, internal control, information security, intellectual property, and the public interest. TCI did not violate any regulations in Taiwan in 2017. In order to improve the legal knowl- edge of staff members, TCI conducts online and in-class training courses and frequently updates related promotional information on its internal website. In 2017, courses were held on internal regulations related to intellectual property rights, the Civil Code, the Consumer Protection Act, business secret protection, anti-corruption, and patent appli- cations. To improve the service quality of the value chain and fulfill the company’ s social respon- sibility, TCI requests suppliers to abide by international and local laws and regulations when recruiting employees and to act in accordance with the ISO 14001 Environmental Management System and OHSAS 18001 Occupational Health and Safety Management System to create healthy, safe work environments and minimize health and safety threats and harm during business operations and waste disposal. 37. JOIN AND DELIGHT Consumer’s Life 2.3 Risk Management TCI conducts risk management through its corporate governance framework and internal control system. Each carries out risk identification in its area of responsibility and works out management strategies and countermeasures with regard to risk prevention, reduction, and transfer. The head of each department is required to review internal and external variables related to business operations (including overall econo- my, industry and technology, customers and market, supply chain, internal personnel, and operating proce- dures) as well as analyze likely impacts on and threats to company operations while presenting the weekly work report in the senior executive meeting held on Tuesdays and Thursdays. If they are deemed potential threats to the operation of the company (i.e., they are judged to be critical risks), then a special task force is immediately organized to prevent and minimize the risk. In addition to the risk management and control measures jointly implemented by departmental managers, the business department, and functional areas, internal risk management and control mechanisms are continuously strengthened to increase the ability to respond to and recover from emergencies. It is hoped that through joint learning, cooperation, and mutual assistance, TCI and its suppliers can improve each other’s abilities to handle different types of risk and cope with rapid changes in the world of business. 2.3.1 Business Risk Management TCI complies with national policies and abides by the Company Act, the Securities and Exchange Act, and the Business Mergers and Acquisitions Act. Internal systems are immediately adjusted in accordance with changes made to laws and regulations to assure the legality of company operations. TCI holds shareholder meetings and investor conferences and produces financial statements, annual reports, and corporate social responsibility reports on a regular basis to increase company information transparency. The compa- ny is also active in pursuing the goal of environmental sustainability and participating in social welfare ac- tivities to fulfill its social responsibility and to give back to society. To protect the rights and interests of em- ployees, customers, and shareholders, and to cope with rapid changes in the information industry, TCI started to make preparations in 2017 to join RE100 in 2018, to seek sustainable development by assessing risks and benefits before adopting new technologies and equipment. It is hoped that TCI can increase the international visibility of its products with superior quality and efficiency and lower production costs. The Cost Management Center was created and placed directly under the President Office to allow professional accountants to apply strict expenditure controls to ensure effective control of operating costs and risks. 37 37 37

  38. JOIN AND DELIGHT Consumer’s Life 2.3.2 Financial Risk Management TCI mainly engages in research, design, and OEM operations and makes no high-risk or high-leverage financial investments. Capital investment is conducted after proposals have been presented by the Finance Department and risk has been evaluated by the Audit Committee and the board of directors. Bank loan interest rates are periodically assessed. Moreover, the compa- ny also conducts appropriate financial hedging according to the financial indices (including ROIC, cash reinvestment ratio, and average annual growth rate of corporate internal value) compiled by the Finance Department each quarter and financial data of leading enterprises and corporate peers in the country. As the pace of globalization picks up, TCI customers and brand businesses have become more internationalized and competition in certain markets has also intensified. Negotiations with some customers, with regard to credit period for instance, are necessary in order to obtain long-term orders, and the Finance Department transfers such risk to insurance companies for accounts receivable. So far, TCI has found insurance companies willing to cooperate. In addition to including customers likely to entail risks as part of insurance policies, the company also takes insurance on transactions with customers with good potential to stimulate placement of orders and the strategy appears quite successful. 2.3.3 Environmental Risk Management 1. Response to climate change impacts TCI is deeply aware of global temperature rises and droughts triggered by climate change. Besides affecting normal operations and the productivity of enterprises, these climate anomalies cause damage to property and threaten the health and safety of workers. TCI has begun to work on issues related to corporate sustainable de- velopment and believes that enterprises must work with every link of the entire supply chain to improve the ability to cope with and solve the problems brought by cli- mate change. In addition to its Integrated Bioscience Design, TCI has adopted agricultural waste utilization, a circular economy model, eco-design in its factories, greenhouse gas inventories and energy-saving and carbon reduction programs (see the section of Sustainability & Green Energy Pandora in this report for details) to conduct carbon management. After completing preparations in 2017, TCI joined RE100 in 2018. RE100 is a business organization co-founded by the Climate Group and the Carbon Disclosure Project. Enterprises joining the organization are required to publicly commit to achieving the goal of using only renewable energy in all of their global operations within an es- tablished timeline. TCI will disclose how the company manages issues associated with environmental impacts from climate change on its company website (http://ww- w.tci-bio.com/Home/Environment) to offer such information to customers and related interest groups for reference and will also use the information to assess the physical and regulatory risks and potential opportunities associated with carbon management. 38 38 38
