  2. Governance – Definition Governance • Wikipedia: • From the Greek – to steer, керувати • Governance is what a governing body does • Non-profit – focus is on fiduciary responsibility of board • consistent management, cohesive policies, guidance, processes and decision-rights

Definition (cont’d) Governance • Effective governance addresses 3 questions: • What decisions must be made to ensure effectiveness? • Who should make these decisions? • How will these decisions be made and monitored? • The combination of processes, practices and structures implemented by the board in order to inform, direct, manage and monitor the activities of the organization toward the achievement of its goals
