Articles of Incorporation • Retained an experienced attorney to assist with transition and document preparation • Plan to file Articles of Incorporation for APHN as a not for profit corporation in the state of Oklahoma as a 501 (c) (3)
Articles of Incorporation • Oklahoma State law followed by attorney when preparing the Articles and Bylaws • Oklahoma chosen for state of incorporation as this is the state where APHN will receive mail and the residence of the Administrative staff
Articles of Incorporation • One addition made beyond Oklahoma State law to fourteenth article • Will be updated following the annual meeting to add two more signatory names
Revised Bylaws • Certain language is specific to Oklahoma State law and cannot be changed • Bylaws contain items not often changed, other information to be included in the Policy and Procedure Manual
Revised Bylaws • Revised membership categories and expanded those who can run for office • Member-at-Large renamed Director-at-Large • Will be updated following the annual meeting to reflect the new Board members

APHN Membership Categories • Three Membership Categories • Official State/Territorial Representative • Public Health Nurse • Retired Public Health Nurse • Two Associate Membership Categories • Friend • Student
Official State/Territorial Representative • A registered nurse who serves as the State/Territorial Nursing Director or is designated as the official representative by the State/Territorial Health Official of that jurisdiction • Has voting rights • May serve as an Officer or Director-at-Large • May Chair and/or serve on committees and workgroups
Public Health Nurse • A registered nurse working in the field of public health including, but not limited to, those working in a local, state, or federal governmental public health agency or department, school health, higher education and community based nursing, but who is not the Official State or Territory Representative • Has voting rights • May serve as an Officer or Director-at-Large • May Chair and/or serve on committees and workgroups
Retired Public Health Nurse • A retired, registered nurse who formerly served as a public health nurse in any capacity in the field of public health • Has voting rights • May serve as Secretary, Treasurer or Director-at-Large, but not as President-Elect • May Chair and/or serve on committees and workgroups
Friend • A non-nurse individual with an interest in public health nursing • Does not have voting rights • May not serve as an Officer or Director-at-Large • May serve on committees and workgroups, but may not Chair
Student • A nursing student enrolled in a college or university with proof of student status • Does not have voting rights • May not serve as an Officer or Director-at-Large • May serve on committees and workgroups, but may not Chair
APHN Dues • Membership • Official State/Territorial Representative - $400 • Public Health Nurse - $120 • Retired Public Health Nurse - $50 • Associate Membership • Friend - $50 • Student - $25
