  2. What Kind of Structure do we Want? The formation group proposes creating HyRamp as an International Not for Profit Association (INPA). This is the best combination of legal structure combined with limited liability for a European based group like ours. JTI Industry Group is one of these. Requires registration at the relevant authorities in Belgium. If allows members to join the organisation and for it to be run in a fair, compliant and open way that allows membership fees to be collected and used most effectively.

  3. Secretariat: Tender and Appointment There is no legal need to Tender for the Secretartiat services for an IMPA The Board has decided that it is best practice to tender. HyRamp will run a short tender process to appoint the permanent Secretariat. A Tender specification will be posted on the Website so interested parties can apply. The Board will select and interview candidates and appoint before the end of 2008,

  4. Budget HyRamp needs to do things. We will need a secretariat for the following activities: Office Management:(ca. 25,000 EUR/a)management of files and correspondence, answering internal and external requests, maintenance and updating databases Financial Management: (ca. 25,000 EUR/a) support to responsible Board Member, invoicing of membership fees, payment of invoices of third parties in agreement with responsible Board Member, regular financial report Website Maintenance and Updating: (10,000 EUR/a) Meeting Management: (50,000 EUR/a):Board meetings (#4), General Assembly (#1), Task force meetings (#10); drafting and circulation of agenda and minutes, circulating of relevant materials, invitation, venue organisation, etc. The members will need to pay a subscription to fund the activities Running HyRamp will cost around €110k/yr

  5. Membership Fee Proposal There are more than 200 regions in the EU. Assume at least 30 will join. Assume the subscription is €5000/yr. That would give us €150,000/yr to fund the secretariat and carry out further work. Seek to get direct involvement of the regions Propose a Subscription of €5000/yr per region
