  2. AAUW Core Competencies “DNA” • Advocacy • Fellowships and Grants • Research • Philanthropy

  3. External Review 2006 • AAUW is perceived as a “white and middle class women” group. • Focus! Decide what you are about, then brand it. If AAUW wants to attract younger members, we must listen and embrace the changes required to attract and retain them. • Play a role in pay equity, STEM equity, and family/work balance for women.

  4. Change: Two basic rules • 1. Change is inevitable. • 2. Everybody resists change.

  5. Four stages of change 1. Denial: We go on as usual pretending there’s nothing new going on. 2. Resistance: Anger, complaining, condemning are in the first stage of accepting change. 3. Exploration: Chaos, energy and enthusiasm come out of this learning stage. 4. Commitment: Embrace the transformation.

  14. Bylaws numbers • Over 20,000 member comments have been considered in the past three years leading to the proposed changes. • Currently about 1,000 members attend convention casting about 2,500 votes. The current registration is around 800 members. • The bylaws will be voted upon article by article with discussion on each article. • It takes a 2/3 majority to approve bylaws amendments.

  15. Branch status after bylaws restructuring • Restructuring refers to AAUW and the Educational Foundation becoming one tax-exempt 501(c)(3) organization, “AAUW”, after June 2009. • Because AAUW will retain a small 501(c)(4), branches will continue to operate under the group exemption. • If a branch converts to a 501(c)(3), the incurred expenses for filing and maintaining that status are the branch’s responsibility. • Branches may create a 501(c)(3) within their existing 501(c)(4) current org; monetary impacts varies with state law.

  16. Proposed bylaws structure • One corporation: AAUW, Inc. a 501(c)(3) • Board will oversee Fellowships Fund (aka EF). • Board=one president, one VP, and 13 directors-at-large. (seven elected, six appointed) • A finance VP and secretary will be appointed from the DAL group. • Three 2-year terms=maximum tenure for DALs. • Two 2-year terms for president.

  17. Bylaws Proposal: The Action Fund • This will be the 501(c)(4) advocacy wing of AAUW. • Separate Board, (AAUW Executive Committee) charter and bylaws. • Will continue current programs and will work from a member-approved public policy platform.

  18. Standing Committees-Appointed • Advisers of the Fellowships Fund • Audit (financial management) • Finance (AAUW budget and investments) • Governance (bylaws, policies) • Structure (includes checks and balances) • Special committees and task forces may be authorized by the Board as needed comprised of (a majority of) AAUW members.

  19. Educational Foundation • The new Fellowships (Award) Fund will be governed by the Board and appointed committees. • All Fellowships and Grants postings, solicitations, processing and selection will be done online. • Less paper/waste • Maintains our ability to recruit and retain the best application screeners

  20. Member Dues • Dues amount will be set by the AAUW Board with at least 60-days notice to members before the Board votes. • Dues for fiscal year 2009 (July 1-June 30) are unchanged. • Lifetime members and members at large categories remain unchanged.

  21. Member Dues • Of the AAUW $49 national dues, $46 will be tax deductible, $3 for Action Fund (public policy) is not deductible. • If your state approves, the branches may opt in to the membership pilot project administered through the Membership Services Database, MSD, in the AAUW Member Center. • 37 states have opted in as of April 1.

  22. Proposed Association bylaws membership changes Direction taken from Every Member Poll and Phoenix Rising Strategic Plan, 2006-2008 • All members voting for Association elections and future bylaws changes by mail, fax or online, (no proxies.) • Open membership---no educational degree required, just commitment to AAUW’s mission from individuals or partner organizations.

  23. Open membership is consistent with our mission of equity. May bring more diversity to AAUW. Would allow interested parties to participate as full voting members. Rural branches would benefit from a larger recruitment pool. Degree requirement is our founders’ goal. Encourages others to get a degree. Distinguishes our org from other equity orgs. Members may quit. Address changing the name AAUW. Members’ interactions would not be among college-educated people Branch behavior would change. Open Membership

  24. Proposed bylaws cont. • Regions are abandoned but may function if desired. Localized Leadership Corp will be a new state/branch resource. • Branches will have no minimum number of members or officers to be functional, only administrative and finance contacts. • State leadership structure is optional and can be combined with other states.

  25. And while you’re thinking big… • AAUW Chief of Strategic Planning, Jill Birdwhistell, suggested that if boards are re-organizing, she sees a need for a branch and state AAUW website liaison or Internet officer.

  26. AAUW Annual Meeting • May be a national convention or AAUW Board meeting. • Will require at least 30-days notice (statute). • Members can vote on the public policy program and bylaws changes. • Quorum=5% of members. About 2% of our members currently attend national conventions.

  27. Proposed bylaws cont. • Member input deadline was Aug. 30. The newest version is online and in Outlook. • Discussion online and at meetings. • Vote on the bylaws at the Association convention in St Louis, MO June 26-28, 2009 Friday/Saturday/ Sunday New schedule planned for efficiency, economy and your enjoyment. Meet Lilly Ledbetter!

  30. Megatrends affecting volunteerism • Silver society-people are living longer. • Immigrant nation-may affect outreach to “all women and girls” cultural barriers. • Information and economic globalization. • Privacy vs. security-impacts public gatherings and electronic communication. • Polarized populace-need for election reform. • Ambiguous authority-complex issues and shifting in American balance of power, church/state.

  39. Change • We can become stagnant or life-long learners. • Resistance and denial come from a sense of loss of control and should be expected. • Leadership communication and reassurance are key to facilitating the process of change. • Not everyone will embrace change at the same rate, so recognize progress where you can.
