  2. Major Activities • WECC Restructuring • Review of Affiliation Restrictions for WECC Non-affiliated Directors • Nomination process for NAD seats for election in June 2013 • Review of GNC Charter • Board Chair and Vice-chair nominations

  3. WECC Restructuring • >35 meetings from June 2012-June 2013 • Developed specific governance structures that lead to recommendation for bifurcation: • RCCO • WECC (RE)

  4. Review of Affiliation Restrictions for NADs • Original interpretation required no income from Western entity for 12 months prior to selection as NAD • Revised interpretation to allow an individual to become NAD as long as they divest of any affiliated income before being seated

  5. Nomination Process for NAD Seats • Process resulted in re-nomination of two existing NADs

  6. Review of GNC Charter • Minor edits to be approved at June Board Meeting • Recommendation to eliminate Regulatory Committee – scheduled for vote at September Board Meeting

  7. Board Chair and Vice-chair Nominations • Proposed nominees presented for Board consideration
