Board Member QualificationsGeneral - 1 • be a citizen of the United States • Be eighteen (18) years of age or older on or before the first date of his or her term
Board Member QualificationsGeneral - 2 • have the highest personal and professional integrity • demonstrateexceptional ability and judgment, and • be effective, in conjunction with the other members of the Board, in collectively serving the long-term interests of USATT
Board Member QualificationsGeneral - 3 Directors shall possess: • the highest personal values, • judgment and integrity, • understanding of athletic competition and the Olympic ideals, and • have diverse experience in the key business, financial, and other challenges that face USATT.
Board Member QualificationsSpecific • be a General Member at least 60 days before the record date, and • obtain and submit to the Nominating and Governance Committee, at least twenty-five (25) signatures of support from current USATT General Members
What Role Does the Nominating and Governance Committee Play? • identify and evaluate prospective candidates for the Board • consult with the Ethics and Grievance Committee [regarding]potential conflict of interest or other problematic background issues • develop prerequisites for becoming a board member, which shall encourage experience serving on a corporate or not for profit board for at least one (1) year for all non-athlete board members
Is There More to This Role? • The Nominating and Governance Committee shall: • evaluate all candidates for At Large Director and • nominate at least two (2) individuals per seat to the USATT General Membership for election.
What Does the Nominating and Governance Committee Take into Consideration When Evaluating a Candidate?
Consideration Questions • the candidate’s contribution to the effective functioning of the USATT; • any potential or impending change in the candidate’s principal area of responsibility with his or her company or in his or her employment; • whether the candidate continues to bring relevant experience to the Board;
Consideration Questions (cont’d) • whether the candidate has the ability to attend meetings and fully participate in the activities of the Board; • the candidate’s personal integrity and commitment to ethical conduct; and • whether the candidate has developed any relationships with another organization, or other circumstances have arisen, that might make it inappropriate for the director to continue serving on the Board.
