  2. Grant Selection Meeting Agenda

  3. Foundation’s Definition of Conflict of Interest • Trustees and Staff Members of the Boettcher Foundation must recognize that their actions may influence the public’s trust in the Foundation. • Conflict of Interest. A “conflict of interest” occurs when a person’s private interest interferes in any way – or even appears to interfere – with the interest of the Foundation as a whole. Therefore, a conflict of interest may arise when a Trustee or Staff Member, or a Related Party, receives an improper personal benefit as a result of his or her position with the Foundation. It may also arise, however, when a Trustee or Staff Member, or a Related Party, takes an action or has an interest that may make it difficult for the Trustee or Staff Member to perform his or her work for the Foundation objectively and effectively, even if there is no improper personal benefit.

  4. Disclosure of Known Conflicts

  5. Foundation’s Policy for Conflicts of Interest • A Trustee or Staff Member with a conflict of interest must not participate in the decision-making process, except for responding to specific questions posed by the Trustees, and then must be absent during the discussion and voting. The minutes should reflect such disclosure, abstention and absence.
