The District Council • Authority • Governing body of the District • Conducts all business of the District • Cannot impose financial obligations on Clubs • Who Attends? • Voting members of the District Executive Committee • Club Presidents and VP-EP • Or proxy • District Officers also Club Rep. = +1 vote (Tot. 3)
The District Council • Meeting Frequency--Twice per year • First—After International Conference; Before December 1 • Second—District Council Annual Meeting Mar 15--Jun 1 • Both in Conjunction with a District Conference • Quorum • One-third of the Club representatives • Notice of Meeting • Four weeks notice • In first mailings to Clubs • In all mailings to Club and District Officers
Read the District Mission Credentials Committee Report Report of Audit Committee (Previous year-end Audit presented at First District Meeting) Adopt District Budget (copies given at or before meeting) Treasurer’s Report (copies given at or before meeting) Confirmation of Appointed Officers Confirmation of filled vacancies Adoption of Club assignments to Areas and Divisions Nominating Committee Report and Officer Election Report of District Officers on progress of District Goals (Dist Gov, Lt. Gov. Ed, Lt. Gov. Mkt.) District Council—Mandatory Business
District Conferences • Fall Conference Purpose: • Provide educational training and leadership opportunities to all District Toastmasters, thereby achieving District mission • Sessions include presentations on educational programs and purposes of Toastmasters
District Conferences • Spring Conference Purpose: • Includes the Annual Business Meeting of the District Council • District International Speech Contest • Presentations on Toastmaster-related topics to expand personal growth and members skills • Closes with Officer Installation Banquet • Achievement Awards are presented
District Committees • Nominating Committee • Appointed by District Governor • Minimum of five members • Select candidates • Report to District Council prior to Council meeting

Governors • 6 months as Club President and • 12 months as Lt. Gov, Div./Area Gov • 6 months as member of District Council • Candidate Eligibility: Div. Governors • Served as members of District Council
District Elections: Nominations • Nominating Committee Responsibility • Ascertain candidate qualifications • Evaluate skills and abilities • Determine candidate willingness • Officer Agreement and Release Statement • Committee members participate equally • Independent judgment
Officer Agreement and Release • Consistent with my desire to take personal responsibility for my conduct, individually and as an Officer of Toastmasters International and as a member of a Toastmasters Club, I agree to abide by the principles contained in “A Toastmaster’s Pledge” and the governing documents and policies of Toastmaster International and my Club. • I will fully comply with my fiduciary duties to Toastmasters International under its governing documents and the law of the land. • (Continued)
Officer Agreement and Release • I will refrain from any form of discrimination, harassment, derogatory, illegal, or unethical conduct, and I understand that if I engage in such conduct, I may be responsible to reimburse Toastmasters International, my Club or other Clubs or other individuals involved with Toastmasters, for any damages losses, or costs resulting from my conduct. • Understanding that Toastmasters programs are conducted by volunteers who cannot be effectively screened or supervised by Toastmasters International or its Clubs, I release and discharge Toastmasters International or its Clubs, governing bodies, and representatives from any liability for the intentional or negligent acts or omissions of any member or Officer of my Club or other Clubs, or any Officer of Toastmasters International.
District Elections: Nominations • Nominating Committee Responsibility • Nominate 1 or 2 for Each Office: • District Governor and Lt. Gov. Ed. & Training • Nominate 1 or more for: • Lt. Gov Marketing and other elective offices • Consider all announced candidates • Vote for candidates: Nominated candidates must receive a majority of votes.
